Stripe Organizations

These Stripe Organizations Services Terms (these “Terms”) apply to your use of the Stripe Organizations Services (defined below). Do not accept these Terms or use the Stripe Organizations Services if you or your company is prohibited from doing so by applicable Law.

1. Relationship to Stripe Services Agreement.

When you use the Stripe Organizations Services, you expressly agree to these Terms, the Stripe Services Agreement, and updates and modifications Stripe makes to each from time to time, if any. These Terms supplement the Stripe Services Agreement, which governs your use of Stripe Services and is incorporated into these Terms by reference. To the extent that there is a conflict between the Stripe Services Agreement and these Terms, these Terms will prevail.

2. Definitions.

Customer and Payment Method Information” (or “CPM Information”) means Customer account information including Customer name, Customer contact information, Customer billing information, Customer tax ID, Customer loyalty program information, and Customer’s payment methods saved to the Customer profile. 

“Customer and Payment Method Sharing” means the feature that enables you to share Customer Payment Method Information of your Organization Accounts with other Organization Accounts in your Organization. 

“Organization” means a group of two or more of your or your Affiliates’ Stripe Accounts that you join together via the Stripe Organization Services. 

Organization Account” means a Stripe Account that is included in an Organization.

Stripe Organizations Services” means the Service that is designed to enable you to join one or more Affiliate Stripe Accounts together in an Organization. The Stripe Organizations Services are “Services” under the Stripe Services Agreement.

3. Conditions of Use

Each Stripe Account can only join one Organization at any time. All Stripe Accounts within an Organization must be Affiliates. If you experience a Change of Control and your Organization Account is no longer an Affiliate of the other Stripe users in the Organization, then you must immediately remove your Organization Account from the Organization. 

4. Stripe Rights. 

Stripe may remove, at its discretion and at any time, an Organization Account from an Organization if Stripe determines that an Organization Account is not an Affiliate of the other Organization Accounts, or is in violation of the Agreement or these Terms.

5. Administration of Organization

By joining an Organization, you authorize: (a) Stripe to share your account data with other Organization Accounts in your Organization; (b) those individuals with authority to act on behalf of individual Organization Accounts, can do so through the Organization; and (c) all other legal entities of the Organization Accounts that are part of the same Organization to enable paid features or other paid Services for the Organization, to add or remove other Affiliate Stripe Accounts in the Organization, and to access, share, delete and modify the account data of your Organization Account based on administration roles that you set for that Stripe Account.

6.  Sharing of Data.  

You represent as of the date you first start using the Stripe Organization Services, and warrant throughout the Term, that you have provided all notices and obtained all rights and consents from applicable individuals, including from all Customers, necessary to permit Stripe to lawfully disclose Personal Data to other Organization Accounts in your Organization. You must not enable or allow any third party to access or use (a) your Organization Account, or (b) any data including Personal Data associated with any Organization Account in your Organization, in a manner that violates Law, including Law applicable to you or to other Organization Accounts in your Organization.

7.  Liability of Organization Accounts

While your Stripe Account is part of an Organization, you are jointly and severally liable with the other legal entities whose Stripe Accounts are part of the same Organization as your Organization Accounts for all activity related to use of Stripe Organizations Services, including for any features or other Services used by the Organization.    

8. Customer and Payment Method Sharing (Preview). 

8.1 Customer and Payment Method Sharing.

This section applies only if you use the Customer and Payment Method Sharing feature of Stripe Organizations Services. 

8.2 Permitted Use.

If you enable Customer and Payment Method Sharing for your Organization, your CPM Information can be shared with the other Organization Accounts in your Organization.  

8.3  Conditions of Use.

Before enabling Customer and Payment Method Sharing, you must provide all necessary notices and obtain all necessary rights and consents from applicable individuals, as required by Law, before sharing CPM Information with other Organization Accounts in your Organization. 

You acknowledge and agree that:

(a) if you enable sharing of your CPM Information with your Organization, then all of your CPM Information is shared with other Organization Accounts that have also enabled sharing CPM Information. CPM Information cannot be segregated and shared in part; and

(b) once enabled, Customer and Payment Method Sharing can only be disabled by Stripe. 

If Customer and Payment Method Sharing is disabled, you may lose access to all CPM Information.  

8.4 Stripe’s Rights.

Customer and Payment Method Sharing is only available for Organizations approved by Stripe. Stripe reserves the right to disable Customer and Payment Method Sharing for any Organization or for any Organization Account in an Organization. Stripe disclaims all liability for disabling Customer and Payment Method Sharing after you have enabled or used the feature. Stripe reserves the right to apply or change fees for the Customer and Payment Method Sharing feature, subject to any notice period required by Law before applying or changing fees, as well as any applicable taxes. Stripe reserves the right to discontinue offering the Customer and Payment Method Sharing feature at any time. 

9.  Termination. 

Stripe may suspend or terminate your access to the Stripe Organizations Services:

a. at any time upon 30 days’ Notice; or

b. immediately on Notice, if (i) you are in breach of these Terms; (ii) there is a material change in any applicable Law, or interpretation of it; or

c. automatically without Notice, if (i) another agreement between you and Stripe (including the Stripe Services Agreement, if applicable) is terminated, or your Stripe Account is suspended or closed; or (ii) your use of the Stripe Organizations Services, in Stripe’s reasonable opinion, violates applicable Law or could cause harm to Stripe or other Stripe users.

10. Preview Services.

10.1 Preview Services

Stripe may indicate that the Stripe Organizations Services, with regard to a particular release or feature, or as offered in certain countries or regions, are classified by Stripe as “proof of concept”, “alpha”, “beta”,  “pilot”, “invite only”, “preview”, “private preview”, “private developer preview”, “public preview”, “developer preview” or similar designation (“Preview,” and the Preview portion of the Stripe Organizations Services, “Preview Services”). You understand that Preview Services are still in development, may have bugs or errors, may be feature incomplete, and may be subject to material change. You further understand that the Preview Services may be generally available in some countries while still classified as Preview in others. Despite any other provision of these Terms to the contrary, you understand and agree that your use of or reliance on the Preview Services is subject to the Preview classification, which will continue in force until Stripe removes the classification.

10.2 Modification to Preview Functionality; Preview Updates.

Stripe has no obligation whatsoever to provide any bug fixes, error corrections, patches, or service packs for, or any revisions, successors, or updated versions to, the Preview Services, or any part of them, while the Preview classification is in place (all of the foregoing, if made available by Stripe, “Preview Updates”). However, if Stripe provides or makes available any Preview Update, you must fully implement the Preview Update within the time period specified by Stripe or 30 days after Stripe makes the Preview Update available, whichever is sooner.

10.3 Availability and Updates During Preview Period. 

Stripe may make updates, changes, repairs, or conduct maintenance at any time, and with or without notice, which may result in changes in the availability or quality of the Preview Services. In addition, Stripe may suspend your access to the Preview Services with or without notice, including if Stripe reasonably believes that (a) suspending the Preview Services is required by applicable Law; (b) continuing to provide the Preview Services would place Stripe in breach of any obligation Stripe owes to a third party; or (c) Stripe determines that continuing to provide the Preview Services would give rise to an unacceptable security or privacy risk. Stripe may also terminate your access to the Preview Services if Stripe, in its sole discretion, stops offering the Preview Services completely or in your jurisdiction.
