1. Stripe Verified Services.
These Stripe Verified Preview Services Terms (“Preview Terms”), together with the Stripe Services Agreement located at https://stripe.com/legal/ssa (“Stripe Services Agreement”) and the Documentation, govern your use of the Stripe Verified Services. Capitalized terms not defined in these Preview Terms have the meanings provided in the Stripe Services Agreement. To the extent these Preview Terms conflict with the Stripe Services Agreement, these Preview Terms will prevail. Except as expressly set out in these Preview Terms, the provisions of the Stripe Services Agreement, as may be amended from time to time, apply in accordance with their terms. By using the Stripe Verified Services, you agree to these Preview Terms.
2. User Obligations.
You must respond to all requests from Stripe and provide User Information or any other information Stripe requires to maintain ongoing eligibility for Stripe Verified Services. For example, Stripe may request that your Representative provide valid identification documents, submit a video selfie to confirm they are a real person, and provide additional documents or data to verify your business activities. If you provide any false or misleading information to Stripe, whether in connection with Stripe Verified Services or not, you will be ineligible for Stripe Verified Services, these Preview Terms will terminate, and Stripe may take additional action against your Stripe Account as described in the Stripe Agreement.
3. Disclaimers.
3.1 Enrolling in the Stripe Verified Services may not prevent all interruptions on your Stripe Account. For example, Stripe may be required to take action without prior notification on your Stripe Account to comply with Law, Financial Partner requirements, or to protect your Stripe Account from fraud.
3.2 Stripe Verified Services are provided only to the Stripe Account enrolled in Stripe Verified, even if that Stripe Account is part of an Organization or if you have multiple Stripe Accounts.
3.3 Platforms enrolled in Stripe Verified will not be permitted to extend due dates or otherwise prevent interruptions for their connected accounts in all cases. For example, Stripe may not allow a platform to extend due dates where doing so would result in a violation of Stripe’s regulatory obligations, obligations to third parties, or would present other risks to Stripe.
4. Use of the Stripe Verified Badge.
Stripe, in its sole discretion, may display an icon indicating your Stripe Verified status (the “Stripe Verified Badge”) on surfaces owned and controlled by Stripe. Stripe owns all IP Rights to the Stripe Verified Badge. You will not use or reference the Stripe Verified Badge in any other context, and you will not make any false statement regarding the intent or purpose of the Stripe Verified Badge. The Stripe Verified Badge is not an endorsement or guarantee of you or any goods or services sold or offered for sale by you. You must not represent, directly or indirectly, to any third party that your Stripe Verified Badge or enrollment in Stripe Verified Services is an endorsement by Stripe of you or a guarantee or warranty of your products or services.
5. Provision of Stripe Verified Services.
5.1 Subject to these Preview Terms, Stripe will provide the Stripe Verified Services to you throughout the Term (as defined below).
5.2 Stripe Verified Services are a Preview service, and provided as-is, and without warranty of any kind, to be used at your own risk. You understand that the Stripe Verified Services are still in development, may have bugs or errors, may be feature incomplete, may have periods of unavailability, and may materially change during the preview period or prior to a full commercial launch.
6. Use of Stripe Verified Services Under these Preview Terms.
6.1 You shall use the Stripe Verified Services in accordance with the Stripe Services Agreement and the Stripe Documentation. Stripe may immediately suspend your access to the Stripe Verified Services if it believes your use of the Stripe Verified Services (a) is, or is likely to be, or (b) causes, or is likely to cause, Stripe to be, in breach of Law, applicable Financial Services Terms, or applicable Card Network Rules.
6.2 To the maximum extent permitted by Law, Stripe and its Affiliates will not be liable to you, your Affiliates, or your Customers for losses, damages or costs arising out of or relating to the use of the Stripe Verified Services.
6.3 Your defense and indemnification obligations under the Stripe Services Agreement will apply to any Claim made against Stripe Parties arising out of or in relation to your breach of these Preview Terms.
7. Confidentiality.
The functionality of the Stripe Verified Services, the fact that you are using the Stripe Verified Services, and these Preview Terms constitutes Stripe's Confidential Information, and you may not use or disclose this information without Stripe’s prior written consent. However, you will not be in breach of this section if you disclose Stripe’s confidential information to the extent required by Law, court order or legal process, provided that you promptly inform Stripe of such requirements and cooperate with all efforts by Stripe to obtain a protective order or similar treatment.
8. Term.
These Preview Terms will apply until the first to occur of (i) Stripe classifying the Stripe Verified Services as being generally available to Stripe users in your country or region, (ii) Stripe’s decision to stop offering the Stripe Verified Services to you (which it may do at any time in its discretion), (iii) Stripe’s decision to terminate these Preview Terms (which it do at any time in its discretion), or (iv) you stop using the Stripe Verified Services. Following Stripe’s classification of the Stripe Verified Services as being publicly available to all Stripe users in your country or region, your use of the Stripe Verified Services will be subject to terms on the Stripe Legal Page at such time. These Preview Terms will terminate automatically upon the termination of the Stripe Services Agreement, and upon such termination, you must cease use of the Stripe Verified Services. Sections 6, 7, 8, and 10 of these Preview Terms will survive its termination for any reason.
9. Termination.
Your sole and exclusive remedy for any Stripe breach of these Preview Terms is to stop using the Stripe Verified Services and terminate these Preview Terms. This termination right does not create a right to terminate the Stripe Services Agreement.
10. General.
These Preview Terms, and the Agreement, constitutes the entire agreement and understanding of the parties with respect to its subject matter and supersedes all prior or contemporaneous agreements and understandings. Any conflict between the terms of these Preview Terms and the Stripe Services Agreement will be resolved in favor of these Preview Terms for the purposes of these Preview Terms. Except as these Preview Terms otherwise allow, they may not be modified except in a writing signed by the parties.
