Stripe Issuing Rewards Program Terms (Preview)

These terms (“Stripe Issuing Rewards Program Terms” or “Terms”) supplement the General Terms and, together with the Stripe Financial Services Terms, which are incorporated into these terms by this reference, govern User’s participation in the Stripe Issuing Rewards Program (the “Program Services”). Capitalized terms that are not defined in these Terms have the same meanings given to them in the General Terms, the Service Terms, or the Issuing Bank Terms.

1. Preview Services.

Unless Stripe notifies User otherwise in writing, the Program Services are Preview Services as defined in the General Terms. If the terms of User’s agreements with User’s own customers or users require amendment in order to allow User to implement the Program Services, User must make those amendments before User uses the Program Services.

2. Basic Terms and Eligibility.

Stripe offers several Stripe Issuing Programs in partnership with several Issuing Banks. To be eligible for these Program Services, User must have both a Card Account and a Financial Account in good standing, meaning it is not in default, suspended, restricted, or subject to any bankruptcy or insolvency proceedings. Stripe reserves the right to determine, in its sole discretion, whether a particular User is eligible to participate in the Program Services.

The Program Services enable access to a rewards program offered to Users using Cards for commercial purposes; User’s Cards may not be used for personal, family, or household purposes. User must use the Card in accordance with the Stripe Issuing - Accountholder (United States) Terms and Issuing Bank Terms. 

3. Earning Cash Back Rewards.

User will earn Cash Back Rewards only on net purchase amounts on Eligible Card Transactions made using User’s Cards. Net purchase amounts represent the dollar amount of eligible purchases of goods or services made by User or an Authorized User, minus any merchant credits, returns, or adjustments. Cash Back Rewards are determined on the Reward Date, and not necessarily the date the Eligible Card Transaction was made or posted to User’s Card Account. The following transaction types and Cash Back Rewards rates apply with respect to the Program:

Transactions set forth in Section 4, below. 

Cash Back Rewards are calculated on each individual Eligible Card Transaction and are rounded to the nearest whole penny.

4. Ineligible Transactions.

Not all purchases made with User’s Cards qualify for Cash Back Rewards. User will not earn Cash Back Rewards for fees or payments related to User’s Card Account or Financial Account, including but not limited to, applicable administrative facilitation fees, annual fees, late fees, or other charges assessed on User’s Card Account or Financial Account. Furthermore, to the extent such transaction types are available via User’s Card Account, User will not earn Cash Back Rewards for the following categories of transactions: Cash-like transactions (including, but not limited to, ATM transactions, money orders, or funding transactions); transactions involving precious goods (including, but not limited to, gemstones, watches, and jewelry) or high-risk resale transactions (including, but not limited to, stamp and coin store transactions); transactions made at merchants with gambling or gaming merchant category codes; and government payment transactions. 

5. Automatic Payout and Distribution.

Cash Back Rewards will be automatically distributed to User’s Financial Account on the Reward Date. This payout will appear as an electronic deposit. User must have both a Card Account and a Financial Account open and in good standing at the time of the Eligible Card Transaction and on the Reward Date in order to be eligible to receive the cash value of User’s accrued Cash Back Rewards.

6. Adjustments and Negative Balances.

Any returns, credits, or chargebacks related to otherwise Eligible Card Transactions will result in a reduction to User’s Financial Account balance in the cash value of any Cash Back Reward associated with such transactions. These adjustments will occur within a reasonable timeframe after the return or credit posts to User’s Card Account. If User closes the Card Account or Financial Account before Stripe makes an adjustment pursuant to this Section 6, User acknowledges that Stripe may debit any User Bank Accounts in the amounts owed by User.

7. Forfeiture, Misuse, and Termination.

Cash Back Rewards have no cash or monetary value until they are redeemed and distributed to User’s Financial Account on the Reward Date, and they do not constitute User's property. User is not eligible to receive a distribution unless User maintains a Card Account and a Financial Account on the Reward Date.  Upon the closure of User’s Card Account or User’s Financial Account by User or Stripe for any reason, any Cash Back Rewards that have been earned but not yet paid out are immediately and automatically forfeited. Without limiting Stripe’s other rights or remedies under any other agreement between User and Stripe, Stripe reserves the right to disqualify User from the Program Services if Stripe determines, in Stripe’s sole discretion, that User has engaged in misuse, abuse, fraud, or “gaming” of the Program Services, which includes purchasing and returning items solely to accrue Cash Back Rewards, or is using Cards for an impermissible purpose under the Stripe Issuing - Accountholder (United States) Terms or the Issuing Bank Terms.

8. Program Modifications and Notices.

Stripe reserves the right to alter, change, or terminate the Program Services or these Terms at any time and for any reason. Stripe will provide at least thirty (30) days advance notice for any material changes that negatively affect how User earns rewards or the value of User’s outstanding Cash Back Rewards. User is solely responsible for determining and paying any applicable tax liability related to the receipt of Cash Back Rewards.

9. Definitions.

Cash Back Reward” means a reward earned on an Eligible Card Transaction that will be distributed to User’s Financial Account if User maintains Card Account and a Financial Account in good standing on the Reward Date.

Eligible Card Transaction” means a transaction to make a payment with a Card for the purchase of goods and services and that is not an Ineligible Transaction. 

Reward Date” means the date Stripe calculates the Cash Back Reward and Cash Back Rewards are deposited into User’s Financial Account.
