At Stripe, we understand that fees in our industry can be complex. This Policy explains how our fees work and provides additional context to items that your Pricing Agreement (as defined in this Policy) may include.
1. Stripe Fees
1.1 The fees for Stripe’s services are located on the Stripe Pricing Page. If you have otherwise agreed fees with Stripe, those fees will be recorded in a Pricing Agreement and will supersede the corresponding fees listed on the Stripe Pricing Page. The fees listed on the Stripe Pricing Page will apply (a) if you use a Stripe service that is not included in your Pricing Agreement; (b) if you use a Stripe service in a Territory not included in your Pricing Agreement; (c) to any Stripe account that is not an Eligible Account (as defined in your Pricing Agreement); and (d) if you accept a Transaction (as defined in your Services Agreement) using a currency not included in your Pricing Agreement, unless Stripe converts and applies the corresponding fees listed in your Pricing Agreement.
1.2 If your Pricing Agreement terminates or expires, the corresponding fees on the Stripe Pricing Page will apply. If there is no corresponding fee for a service listed on the Stripe Pricing Page, then (a) Stripe may terminate your access to that service, or (b) if Stripe permits you to continue to access that service, then Stripe will charge you the fee in your terminated or expired Pricing Agreement for that service for as long as there is no corresponding fee listed on the Stripe Pricing Page.
1.3 Stripe rounds each Stripe fee to the nearest unit (e.g., cents). For example, if the fee is 0.025, Stripe will round up to 0.03. If the fee is 0.024, Stripe will round down to 0.02.
1.4 Stripe may offer you the ability to refund a successful payment to your Customer, either in full or in part. Card Transaction refunds constitute a Charge Event (as defined in your Pricing Agreement), and for each successful refund, Stripe will charge you the fixed fee in your Pricing Agreement applicable to the Transaction that is being refunded.
2. Billing and Pricing Models
2.1 Stripe may agree to provide its products and services to you on a usage-based or subscription-based billing model, based on your eligibility and the Stripe products and services you use. Your Pricing Agreement will include the terms governing the relevant billing model, as applicable.
2.2 Stripe charges fees for Payment Methods on a blended or interchange plus (“IC+”) pricing model, as set out in your Pricing Agreement. An IC+ pricing model may also be referred to as interchange++; cost plus or cost+; or network cost+, NC+ or network cost plus.
2.3 Under a blended rate pricing model, you pay an agreed fee for the applicable Transaction (or Charge Event), regardless of the underlying differences in Network Costs (e.g., interchange and scheme fees, for payment cards).
2.4 Under an IC+ pricing model, Stripe attributes underlying Network Costs to you and adds a Stripe fee (markup). In certain circumstances, Stripe may not have all the relevant information at the time of the Transaction (or Charge Event) to determine the associated Network Cost, in which case a subsequent adjustment may be required. After Stripe charges you a particular Network Cost, Stripe may retroactively adjust the Network Cost charged based on cost-related information Stripe becomes aware of, including via updates from Financial Partners.
2.5 The Stripe Dashboard provides reporting functionality to view information regarding the Network Costs you are responsible for, if applicable.
3. Progressive Tiering
3.1. Stripe may offer tiered fees on a progressive basis, which provides discounts as your business grows. If your Pricing Agreement states that a fee will be calculated on a Progressive Tier Basis, Stripe will calculate that fee according to this section.
3.2 On each Charge Event, Stripe will charge the fee(s) listed in the relevant fee tier, as determined by the total Fee Tier Units in a given period. As applicable, the fee(s) and the Fee Tier Units for each applicable product or service are specified in your Pricing Agreement. The fee tiers are progressive, meaning for each period, “Fee Tier 1” applies to the portion of Fee Tier Units falling in that fee tier, “Fee Tier 2” applies to the portion of Fee Tier Units falling in that fee tier, and so on.
3.3 Stripe will review its application of the fee tiers on a daily basis and, if necessary, make an adjustment for actual total Fee Tier Units by crediting the applicable Eligible Account(s) or collecting the applicable amount according to your Services Agreement. If Stripe applies a credit, it will be (a) treated as inclusive of applicable taxes and (b) distributed proportionately if relating to fees that were paid via multiple Eligible Accounts.
4. Direct Rate Information
4.1 If you have agreed to a Direct Rate (or, if you are a Stripe Connect Platform, your Connected Account has done so), Stripe requires the Direct Rate Information in order to apply the appropriate Network Cost. In those circumstances, you will provide, or cause the Payment Method Provider to provide, the Direct Rate Information to Stripe (a) prior to submitting your first Transaction to which the Direct Rate is to apply, (b) prior to submitting a Transaction following an adjustment to the Direct Rate Information, and (c) promptly upon Stripe’s request. You are responsible for monitoring the application of your Direct Rate to your (or, if applicable, your Connected Accounts’) Transactions, and for proactively notifying Stripe of any new Stripe Accounts to which the Direct Rate is applicable.
4.2 If you have agreed a blended pricing model with Stripe and a Direct Rate with a Payment Method Provider, Stripe may require you to enter into an amendment to your Pricing Agreement (for example, to move to an IC+ model) before implementing that Direct Rate.
5. Preview Services
Notwithstanding anything to the contrary in your Pricing Agreement, fees you agree with Stripe for a Preview Service (as defined in your Services Agreement or this Policy) are effective until any of the following occur: (a) Stripe makes the Preview Service publicly available to Stripe users; (b) Stripe stops offering the Preview Service to you (which it may do at any time); (c) you stop using the Preview Service (which you may do at any time); or (d) the Pricing Agreement specifying the Preview Service fees expires or terminates. If you stop using a Preview Service, you must notify Stripe. If you recommence using that Preview Service, unless you and Stripe otherwise agree in writing, the fees for that Preview Service and any related service terms, will apply to your use of that Preview Service. If Stripe makes a Preview Service publicly available, your continued use of that Preview Service will, subject to any notice period required by Law, be subject to the fees on the Stripe Pricing Page or as otherwise specified by Stripe.
6. Stripe Contracting Entities
If your Pricing Agreement relates to one Territory only (which, if you are a Stripe Connect Platform, means your Territory for the purposes of this Section, rather than your Connected Accounts’ Territory or Territories), the applicable Stripe entity in that Territory will be the Stripe contracting party. Stripe, Inc. (“SINC”) will be the Stripe contracting party to a Pricing Agreement for more than one Territory in North and South America only; and Stripe Payments Europe, Limited (“SPEL”) will be the Stripe contracting party to a Pricing Agreement for more than one Territory in the rest of the world. If your Pricing Agreement relates to both (a) North and South America and (b) the rest of the world, then SINC and SPEL will be the contracting parties for those respective regions. SINC will ensure its relevant Affiliates implement the agreed fees for Services provided in North and South American Territories and SPEL will ensure the same for Territories in the rest of the world.
7. Modification
Stripe may modify all or any part of this Policy at any time by posting a revised version of the modified Policy on the Stripe Legal Page or by notifying you. The modified Policy is effective upon posting or, if Stripe notifies you, as stated in the notice. For modifications related to Authorized Payment Services, Stripe will notify you as Law requires. By continuing to use Services after the effective date of any modification to this Policy, you agree to be bound by the modified Policy. It is your responsibility to check the Stripe Legal Page regularly for modifications to this Policy. Stripe last modified this Policy on the date listed under the “Stripe Pricing Policy” heading. Unless otherwise agreed in writing, a modification of this Policy will not vary the fees for a Service listed in your Pricing Agreement.
8. Interpretation
8.1 If applicable, references to “Fee Schedule” in your Services Agreement mean “Stripe Pricing Agreement”.
8.2 If included in your Pricing Agreement, the “min” and “max” amounts that directly follow a fee are the minimum and maximum fees Stripe will charge per Charge Event, in the currency of the fixed fee (or, for Alternative Currency Payouts, the applicable alternative currency), on the portion of the fee that the min or max relates to. For example, “max. percentage fee” means the maximum amount Stripe will charge on the percentage fee component; and “max. aggregate fee” is the maximum amount Stripe will charge on the aggregate of the percentage and fixed components of the fee.
8.3 If your Services Agreement does not include a definition of “Services”, then a reference to “Services” in your Pricing Agreement means “Stripe Services” as defined in your Services Agreement.
8.4 If your Services Agreement or Pricing Agreement does not include a definition of “Change of Control”, “Financial Partner”, “Preview” or "Preview Service”, then a reference to each of those terms in your Services Agreement or Pricing Agreement has the following meaning:
“Change of Control” means (a) an event in which any third party or group acting together, directly or indirectly, acquires or becomes the beneficial owner of, more than 50% of a party’s voting securities or interests; (b) a party’s merger with one or more third parties; (c) a party’s sale, lease, transfer or other disposal of all or substantially all of its assets; or (d) entry into any transaction or arrangement that would have the same or similar effect as a transaction referred to in (a)-(c) of this definition; but, does not include an initial public offering or listing.
“Financial Partner” means a third party that provides financial services and with which Stripe interacts to provide the Services.
“Preview” means the product release phase “proof of concept,” “beta,” “pilot,” “invite only,” “private preview,” “private developer preview,” “public preview,” “developer preview,” or similar designation.
“Preview Service” means any Preview feature or portion of the Services or Stripe Technology.
8.5 Unless specified as business days, all references in the Pricing Agreement to days, months or years mean calendar days, calendar months or calendar years.
8.6 If your Stripe Account is located in Canada, the EEA, the Middle East, South America or the UK then, for numbers, commas may be used as thousands separators and periods are used as decimal separators (for example, “1,500.50” means one thousand, five hundred and one half).
8.7 For Stripe Accounts located in Canada, it is the express wish of the parties that the Pricing Agreement, this Stripe Pricing Policy and all related documents be drawn up in English. C’est la volonté expresse des parties que la présente Annexe Tarifaire, Politique Tarifaire de Stripe ainsi que les documents qui s’y rattachent soient rédigés en anglais.
9. Definitions.
Capitalized terms are defined in this Policy, your Pricing Agreement or your Services Agreement.
“Direct Rate” means a rate that you (or, if you are a Stripe Connect Platform, your Connected Accounts) has directly negotiated with a Payment Method Provider, and which the Payment Method Provider charges Stripe for your (or, as applicable, your Connected Accounts’) Transactions.
“Direct Rate Information” means accurate, complete and current information about your (or, if you are a Stripe Connect Platform, your Connected Accounts’) Direct Rate and the Transactions to which the Direct Rate applies.
“Network Cost” is defined in your Pricing Agreement.
“Policy” means this Stripe Pricing Policy.
“Pricing Agreement” means an agreement executed by you (and your Affiliates, if applicable) and Stripe, that specifies the Fees Stripe will apply for you, and incorporates the terms of your Services Agreement and this Policy.
