These PayPay Terms, which supplement the Stripe Services Agreement, govern your acceptance of PayPay wallet payments from your customers (“PayPay Services”). A capitalised term used and not defined in these Terms has the meaning given to such term in the Stripe Services Agreement. PayPay Services are made available to you by Stripe through Netstars Co., Ltd, who is a Payment Method Provider for the purposes of the Stripe Services Agreement. As a Payment Method Provider, Netstars Co., Ltd has the right to enforce these terms and the Stripe Services Agreement against you.
1. PayPay Merchant Agreement
You understand and accept that when you successfully enable PayPay Services on Stripe, a merchant agreement is formed between you and PayPay Corporation comprising the following terms and conditions (collectively, the “PayPay Merchant Agreement”):

You must comply with terms applicable to you and your use of the PayPay Services. PayPay Corporation may modify the PayPay Merchant Agreement without notice to you. It is your responsibility to periodically review the PayPay Merchant Agreement and familiarise yourself with any updates.
2. Applicability of PayPay Merchant Agreement
You understand that not all services or features described in the PayPay Merchant Agreement are available through Stripe’s PayPay Services.
The PayPay Merchant Agreement do not apply in respect of any direct obligations between you and PayPay Corporation to pay usage fees or settle funds, which shall be handled in accordance with the Stripe Services Agreement.
You confirm that Stripe is authorised to receive and handle funds for you under the agent authority granted by you to Stripe under the Stripe Services Agreement and you acknowledge that Payment Method Providers (including PayPay Corporation and Netstars Co., Ltd) have the authority to collect and transmit funds to Stripe in accordance with these PayPay Terms. And the Purchaser/Donor’s payment obligation to you is discharged when Purchaser/Donor’s funds are deducted by PayPay Corporation in accordance with the PayPay Merchant Agreement. In the event that there is any contradiction or conflict with the terms of the Stripe Services Agreement, the terms stipulated in these PayPay Terms shall take precedence.
In addition to any obligations owed by you to PayPay Corporation under the PayPay Merchant Agreement, the processing of Transactions, Disputes, Refunds and Reversals of the PayPay Services will remain subject to the Stripe Services Agreement. You must direct your instructions regarding these matters through Stripe. You acknowledge that Stripe may be required by its Payment Method Provider to take action consistent with PayPay Corporation’s rights under the PayPay Merchant Terms with regards to these matters. You agree to promptly comply with requests or instructions from Stripe accordingly.
3. Marketing and Promotions
You understand that by entering into a merchant agreement with PayPay Corporation to use the PayPay Services, PayPay Corporation has the right to contact you directly, including for advertising and marketing purposes. Please consult PayPay Corporation’s privacy policies regarding how PayPay Corporation may use your personal data.
Stripe, at Payment Method Provider’s request, may provide you with marketing material or communications about PayPay Corporation’s merchant marketing and promotional campaigns. You consent to receiving such communications from Stripe.
