Crypto Pay-in Terms

These terms (“Crypto Pay-in Terms”) form a legal agreement between Stripe, Inc. (“Stripe”) and you or the entity you represent (“you” and “your”), and govern your use of the Crypto Pay-in Services. The Stripe Services Agreement is incorporated into these Crypto Pay-in Terms by this reference. Capitalized terms not defined in these Crypto Pay-in Terms, are defined in the Stripe Services Agreement. To the extent that there is a conflict between the Stripe Services Agreement and these Crypto Pay-in Terms related to your use of the Crypto Pay-in Services, these Crypto Pay-in Terms prevail.

Unless Stripe notifies you otherwise in writing, the Crypto Pay-in Services are Preview Services as defined in the Stripe Services Agreement.

1. Settlement Services and Available Stablecoin.

1.1 Accessing the Settlement Services.

To access and use the Settlement Services, you must (a) register with the applicable Settlement Services Partner through your Stripe Account; (b) accept the applicable Settlement Services Terms; and (c) comply with the applicable Settlement Services Terms. For purposes of the Stripe Agreement, all Settlement Services Terms are Financial Services Terms.

1.2 Stripe Does Not Perform Settlement Services.

Stripe has no role in performing or providing the Settlement Services. Stripe is not responsible for provisioning the Deposit Address, and Stripe does not convert, hold custody of, or transfer any Stablecoin or other virtual currency in connection with any Settlement Services or the Crypto Pay-in Services.

1.3 Settlement Services Partner.

The Settlement Service Partners are identified in the Documentation. Stripe may add or remove Settlement Services Partners without notice to you. A Settlement Services Partner is a Financial Partner for the purposes of the Stripe Agreement. Except as otherwise stated in these Crypto Pay-in Terms, as between Stripe and the Settlement Services Partner, the Settlement Services Partner is solely responsible for providing the Settlement Services to you, and your use of the Settlement Services is governed by the applicable Settlement Services Terms.

1.4 Available Stablecoins.

The Settlement Services Partner may add or remove available Stablecoins as provided in its Settlement Services Terms. Stripe may add or remove support for Stablecoins in connection with the Crypto Pay-in Services at any time.

1.5 Permitted Use.

The Settlement Services and the Crypto Pay-in Services may be used only in connection with the purchase of goods and services from you by your Customers.

2. Deposits.

A Customer’s obligation to pay you for a purchase of goods or services will be satisfied (or otherwise reduced by the value of the payment) when a Stablecoin Deposit made by the Customer is recorded by the applicable blockchain, irrespective of the time that you use the Crypto Pay-in Services to instruct the Settlement Services Partner to convert the Stablecoin to U.S. Dollars or settle the corresponding U.S. Dollars to your Stripe Account.

3. Settlements.

3.1 Settlement Instruction.

Until you notify Stripe otherwise, you authorize Stripe to instruct the Settlement Services Partner, on your behalf, to convert Stablecoin in your Settlement Services Merchant Account to U.S. Dollars and settle those U.S. Dollars to your Stripe Account (“Settlement Instruction”).

3.2 Settlement Services Terms.

The Settlement Services Terms govern the Settlement Services Partner’s rights and obligations with respect to performing your Settlement Instruction. Stripe is not responsible for the Settlement Services Partner’s performance or nonperformance of your Settlement Instruction.

3.3 Funds Transfer Cut-Off Times.

A Settlement Services Partner’s performance of any Settlement Instruction is subject to funds transfer cut-off times set by the Settlement Services Partner’s banking partners. These cut-off times may be changed at any time without notice to you.

4. Refunds.

If a Customer requests a refund of a payment for a purchase of goods or services made by Stablecoin Deposit, to be completed through the Settlement Services to a Third-Party Wallet, then:

(a) you may be subject to third-party network fees;

(b) Stripe or the Settlement Service Partner, in their discretion, may conduct blockchain monitoring and screening on the applicable Third-Party Wallet;

(c) if Stripe or the Settlement Services Partner identifies the Third-Party Wallet as presenting fraud, compliance, or other risk, then Stripe or the Settlement Services Partner, as applicable, may perform a manual compliance review of the Third-Party Wallet, which may cause delays in completing the refund or the availability of U.S. Dollar funds in your Settlement Services Merchant Account, your Stripe Account, or both; and

(d) the Settlement Services Partner or Stripe, in their discretion, may reject any transfer to a Third-Party Wallet that presents an excessive risk, or if required by Law.

5. Disclaimers.

5.1 Results of Suspension or Termination.

Stripe is not responsible for any liability you incur or any loss of value in your Stripe Account, your Settlement Services Merchant Account, or of any Stablecoin or fiat currency, resulting from the suspension or termination of the Crypto Pay-in Services, the Settlement Services, or your Settlement Services Merchant Account under these Crypto Pay-in Terms or the Settlement Services Terms.

5.2 Interruptions.

Stripe is not responsible for any interruptions to the Settlement Services or your Settlement Services Merchant Account initiated or caused by any third party, including any Settlement Services Partner or other Financial Partner.

5.3 Inaccurate Information; Unsupported Assets; Rejection by Settlement Partner

Stripe is not liable to you for any losses, damages, or costs if (i) you or any of your Customers provide incorrect Transaction information, including an inaccurate or incomplete Deposit Address, (ii) you or any of your Customers attempt to initiate a transfer to your Settlement Services Merchant Account for virtual currency or other assets that are not supported by the Settlement Services Partner and Stripe, (iii) the Settlement Services Partner rejects a transfer of Stablecoins to your Settlement Services Merchant Account, or (iv) Stripe or the Settlement Services Partner rejects a Settlement Instruction.

5.4 Taxes

Transactions involving Stablecoins may be subject to Taxes. You acknowledge that tax Laws on Stablecoin transactions may be uncertain and that it is not Stripe's responsibility to determine, calculate, report or remit any Taxes owed by you arising from (i) the use of Settlement Services, or (ii) any other transactions you may enter into with a Settlement Services Partner. Stripe does not provide investment or tax advice.

6. Definitions

Crypto Pay-in Services” means the Preview Services that enable you to access and use the Settlement Services of a Settlement Services Partner.

Deposit Address” means a Settlement Services Partner wallet address that a Settlement Services Partner provides to you for you to provide to your Customers for the purpose of buying goods or services from you in Stablecoin.

Settlement Services” means the following services provided by a Settlement Services Partner: (a) the creation and maintenance of a Settlement Services Merchant Account and associated Deposit Address; (b) the conversion of Stablecoins to U.S. Dollars and vice versa; (c) the custody of Stablecoins and U.S. Dollars by the Settlement Services Partner; and (d) the transfer of U.S. Dollars to your Stripe Account.

Settlement Services Merchant Account” means your account with a Settlement Services Partner in which Customers will be able to deposit Stablecoins using your Deposit Address.

Settlement Services Partner” means the entity that provides the Settlement Services.

Settlement Services Terms” means the agreement between a Settlement Services Partner and you that governs the Settlement Services Partner’s provision, and your access to and use of, the Settlement Services.

Stablecoin”means a U.S. Dollar-backed stablecoin that is made available by a Settlement Services Partner via its Settlement Services and, as stated in the Documentation, supported by Stripe in connection with the Crypto Pay-in Services.

Stablecoin Deposit” means a blockchain transfer of one or more Stablecoin from a Customer’s Third-Party Wallet to your Deposit Address for purposes of buying goods or services from you.

Third-Party Wallet” means external virtual asset wallets held or hosted by third parties and not by the Settlement Services Partner.
