These Stripe Multiprocessor Settlement Platform Services Preview Terms (these “Stripe Multiprocessor Settlement Platform Terms”) supplement the Agreement and the Stripe Connect Terms, and govern your ability to offer the Stripe Multiprocessor Services to Connected Accounts. Capitalised terms used in these Stripe Multiprocessor Settlement Platform Terms that are not defined inline or elsewhere in the Agreement are defined in Section 7.
1. Stripe Multiprocessor Services.
The Stripe Multiprocessor Services is a Preview Service through which you offer Connected Accounts the ability to receive Third Party PSP Acquired Funds. You must offer the Stripe Multiprocessor Services only to eligible Connected Accounts for their business purposes. The Stripe Multiprocessor Services will not result in the creation of a payment account (as defined in the Irish S.I. No. 6/2018 European Union (Payment Services) Regulations 2018 or the UK Payment Services Regulations 2017) for you or your Connected Accounts.
2. Access to the Stripe Multiprocessor Services.
You must not offer, market or otherwise make the Stripe Multiprocessor Services available to Connected Accounts located outside of the Stripe Multiprocessor Supported Territory. You must ensure that no Connected Account uses the Stripe Multiprocessor Services outside of the Stripe Multiprocessor Supported Territory.
3. Source of Funds
3.1 You must ensure that Third Party PSP Acquired Funds are:
(i) acquired by a Connected Account related to its commercial or business purposes;
(ii) attributable to the Connected Account; and
(iii) sent directly from the Third Party PSP to Stripe on a net basis after deducting any relevant charges or refunds.
4. Services Restrictions
4.1 You must not enable or allow any Connected Account to use the Stripe Multiprocessor Services other than for the purpose for which they are provided and in accordance with all applicable Stripe Multiprocessor Services Documentation.
4.2 You must not use or offer the Stripe Multiprocessor Services to make payment to your vendors or payees.
4.3 You agree that no Connected Account that will ultimately be allocated Third Party PSP Acquired Funds is an account held by your vendor or payee for the relevant transactions.
4.4 You must provide a Settlement File to Stripe prior to receiving Third Party PSP Acquired Funds in your Stripe Account balance. The Settlement File must, in all circumstances, be provided on the same Business Day that funds are sent to Stripe.
4.5 If you do not provide a Settlement File within fourteen (14) days of the Third Party PSP Acquired Funds being received in your Stripe Account balance, Stripe may, at its sole discretion and without prior notice to you, return such funds to the Third Party PSP that sent them to Stripe or take such other steps as it deems necessary to comply with Law.
4.6 You agree that a Third Party PSP will not have any ability to initiate charges against your Stripe Account balance, including for the purpose of refunds, disputes, chargebacks or otherwise. The Third Party PSP shall be responsible to you for any refunds, disputes, chargebacks or other amounts that must be returned to you.
5. Indemnification.
You will indemnify the Stripe Parties from and against any Claim, and indemnify the Stripe Parties for all Losses (including claims for reimbursement relating to authorised push payment fraud, if relevant) arising out of or relating to (a) inaccurate or incomplete information provided to a Stripe Entity by or on behalf of you or any Connected Account; or (b) a negative balance or financial loss or damage caused by you or a Connected Account.
6. Termination.
These Stripe Multiprocessor Settlement Platform Terms automatically terminate if the Stripe Connect Terms terminate for any reason.
7. Definitions
“Settlement File” means the file containing relevant information that instructs Stripe on the appropriate allocation of Third Party PSP Acquired Funds as between your Connected Accounts and your Platform Account.
“Stripe Multiprocessor Services” means the Preview Services that enable a Connected Account to receive Third Party PSP Acquired Funds.
“Stripe Multiprocessor Supported Territory” means the United Kingdom, Switzerland, Gibraltar and the European Union.
“Third Party PSP” means a non-Stripe payment services provider with the relevant regulatory permissions to provide payment services to the Connected Accounts of a Stripe Connect Platform.
“Third Party PSP Acquired Funds” means funds acquired by a Third Party PSP for the Connected Accounts of a Stripe Connect Platform.
