PART 2 -- SPECIFIC RULES
1. UNITED STATES
Some or all of Afterpay's obligations may be provided by Afterpay US Services, LLC or such other of its affiliates as Afterpay may determine.
2. UNITED KINGDOM
"Clearpay Services" under this Part 2(2) means Clearpay's provision of the Extended Repayment Feature (as defined below) to your Customers in the United Kingdom. The provision of Clearpay Services is limited to goods and services that are purchased by and delivered to Customers' addresses located in the United Kingdom. The Clearpay Services allow Customers to pay for goods and/or services offered by you using installment payment financing options (the "Extended Repayment Feature"). Clearpay provides Extended Repayment Feature financing transactions to qualified Customers to facilitate the sale of goods and/or services by you on your website. Your marketing and promotion of Clearpay to customers must comply with Law and the Marketing Compliance Guide. Any marketing or promotion of Clearpay beyond what is contemplated in the Marketing Compliance Guide will require a separate agreement between you and Clearpay. This is also necessary to ensure compliance with Law, including financial promotions laws under section 21 of the UK's Financial Services and Markets Act 2000 ("FSMA") and the UK Financial Conduct Authority's rules ("FCA Rules") in relation to the publication of such financial promotions. You will provide all approved and "live" marketing and promotional materials relating to the marketing and promotion of Clearpay to Clearpay on request. "Live" means any marketing or promotional material that is or may be used by you for any marketing activity. For the avoidance of doubt, you are not permitted to engage in any real-time promotional activity or interactive dialogue with or to your Customers. You will (and will procure that any persons acting on your behalf will) fully cooperate with Clearpay and comply with all requests from Clearpay in relation to marketing and promotion materials to identify if there are any risks that the marketing and promotion materials are not compliant with FSMA or the FCA Rules for the lifetime of the marketing and promotion materials and providing data on the status of the marketing and promotion materials. Further, you will (and will procure that any persons acting on your behalf will) comply with Clearpay's instructions and directions promptly (and in any event before any reasonable deadlines set by Clearpay, any relevant third party and/or the FCA) in respect of any amendments that need to be made to any marketing and promotion materials or to withdraw the marketing and promotion materials so as to ensure that marketing and promotion materials are compliant with FSMA and the FCA's rules in relation to the publication of financial promotions, for the lifetime of the marketing and promotion materials.

You agree to release, indemnify, and hold harmless in full and on demand Clearpay, its Affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable legal and accounting fees, arising out of or in any way related to sections 56 and 75 of the Consumer Credit Act 1974 in respect of a purchase by your Customer of any goods and/or services on your website using Clearpay Services ("CCA Liabilities"). For the avoidance of doubt, Clearpay Finance Limited shall be entitled to enforce this clause directly against you pursuant to the Contracts (Rights of Third Parties) Act 1999.
Audit Rights & Records
You agree to fully and promptly cooperate and provide reasonable assistance and data to Clearpay and its auditors: (i) on request to enable Clearpay to comply with its own obligations under Applicable Law, FSMA, the Financial Conduct Authority ("FCA") Handbook of rules and guidance ("FCA Rules") or any direction or instruction from the FCA or the UK Financial Ombudsman Service ("FOS") in connection with the Clearpay Services or the Extended Repayment Feature; and (ii) in respect of all requests or enquiries from regulatory bodies or authorities (including the FCA and persons appointed by it and the FOS). You shall, for the duration of this Agreement and for the period of three (3) years following its termination, maintain appropriate accounts, books, records and data relating to the Clearpay Services as may reasonably be required by Applicable Law and/or the FCA Rules.
Cooperation
To the extent any disputes or complaints result in a Customer making a complaint to the FOS in respect of a purchase of any goods and/or services on your website using Clearpay Services, you agree to provide your cooperation in accordance with this Agreement.
Withdrawals
In the event that a Customer exercises their right to withdraw from the credit agreement (between us and the Customer) under section 66A of the Consumer Credit Act 1974 (the "Withdrawal Right"), you acknowledge and agree that: (i) the Customer owes Clearpay a debt in relation to the goods and/or services and not you. The Customer is required to repay the purchase amount to Clearpay within thirty (30) days of the withdrawal notice and you shall not make any representations to the contrary; and (ii) exercise of the Withdrawal Right does not cancel the underlying purchase contract for the goods and/or services between you and the Customer. Should the Customer request any returns or refunds of the goods and/or services in conjunction with exercising the Withdrawal Right, then you will comply with your obligations under this Agreement in relation to that return or refund.
Section 75 Claims
(a) You acknowledge that Section 75(1) of the Consumer Credit Act 1974 provides that if, in relation to a transaction to purchase goods and/or services from you financed by the Extended Repayment Feature, a Customer has a claim against you in respect of a misrepresentation or breach of contract, they shall have a like claim against Clearpay who, with you, shall accordingly be jointly and severally liable to the Customer (a "Section 75 Claim"). (b) You and Clearpay shall promptly notify each other of any Customer complaints or circumstances likely to give rise to a Section 75 Claim, and shall, at each party's own cost, provide the other party with all information, evidence and assistance reasonably requested in relation to any Section 75 Claim. (c) Clearpay will not, defend, settle or otherwise deal with any Section 75 Claim, without consulting with you in advance. (d) You agree to contact the Customer directly, if deemed appropriate by Clearpay, in order to resolve any Section 75 Claim. (e) You acknowledge that Section 75(2) of the Consumer Credit Act 1974 provides that Clearpay is entitled to be indemnified by you for loss suffered by Clearpay in satisfying their liability to a Customer under Section 75(1). Without limitation to the indemnity set out above, you shall; on Clearpay's written request, either: (i) pay directly to the Customer any amounts properly due to the Customer in respect of the Section 75 Claim; or (ii) reimburse Clearpay on demand for all amounts paid or credited by Clearpay to the Customer in satisfaction of the Section 75 Claim, together with all reasonable costs and expenses incurred by Clearpay in investigation, defending or settling that Section 75 Claim. (f) If the Customer submits a complaint about a Section 75 Claim to the FOS, you undertake to pay any amounts due to the Clearpay under the indemnification provisions above. (g) If the Customer commences litigation under Section 75 relating to a Section 75 Claim, you agree to be joined as a party to the proceedings or to apply to the court to be substituted as the defendant to any claim so made in each case as required by Clearpay. (i) The parties shall agree points of contact within Clearpay and you for handling Section 75 Claims.
No Pressure Selling
"Pressure Selling Practices" means any conduct which harasses, coerces or unduly influences a Customer, or is otherwise likely to significantly impair the Customer's freedom of choice or conduct through harassment, coercion or undue influence, including any aggressive commercial practice or a commercial practice listed in Schedule 20 of the Digital Markets, Competition and Consumers Act 2024 (DCMA). (b) Without limitation, you shall not and shall procure that your employees, agents and representatives do not: (i) state or imply artificial time constraints or scarcity (including "today-only" offers, or that finance is available only if the Customer signs immediately); (ii) remain at the premises beyond a reasonable time or after being asked to leave, or make repeated or persistent follow-up visits or calls intended to wear down the Customer's decision-making; (iii) misrepresent any statutory or contractual rights (including cancellation and withdrawal rights) or the nature, cost, availability or terms of any Extended Repayment Feature or Clearpay Services; (iv) take, request or accept any Clearpay purchase before providing to the Customer all legally required pre-contractual information in a durable medium; (v) complete, submit, encourage or facilitate any application in relation to the Clearpay Services without the Customer's fully informed, freely given and explicit consent; or (iv) exploit a Customer's vulnerability, including age, infirmity, mental or physical disability, limited comprehension, low financial resilience or language barriers.

Your use of Afterpay is for business purposes and not for personal, family or household purposes.
