These Stripe Startup Program Terms (“Program Terms”) are between you (“you”) and the Stripe entity that provides Services to you under the Agreement (“Stripe”). These Program Terms govern your participation in the Startup Program.
1. Startup Program.
1.1 Overview. The Startup Program is designed to support early-stage, funded startups by offering access to Benefits, including access to discounts, opportunities for community building, and enablement content.
1.2 Startup Program Pages. More information about the Startup Program is available on the Startup Program Pages. The Startup Program is subject to the terms and conditions stated on Startup Program Pages, which are incorporated by reference into these Program Terms.
1.3 Applying to the Program. You may apply to join the Startup Program as directed by Stripe. Stripe may accept or reject your application, and may choose whether to distribute Benefits to you, in its sole discretion.
1.4 Your Obligations. You must comply with these Program Terms and all terms on the Startup Program Page that apply to you.
1.5 Startup Program Communications. Stripe may send you, using the email you provide, information about Stripe, the Startup Program, and anything that Stripe believes may be of interest to you. By applying to the Startup Program, you give Stripe permission to (i) send these communications to you; and (ii) share your information, including Personal Information, with Startup Partners. Stripe may only use your contact details for the purposes of the Startup Program and for marketing Stripe’s products and services to you.
2. Benefits.
2.1 General. Subject to your compliance with these Program Terms and all applicable Startup Program requirements, you may receive and use Benefits. Stripe determines in its sole discretion eligibility requirements for, and additional terms that apply to, Benefits. Stripe will state those terms and eligibility requirements, if any, on the Startup Program Pages or in a separate agreement with you.
2.2 Terminating a Benefit. Stripe may terminate a Benefit if you breach these Program Terms or the terms of any other agreement, promotion, or program under which you received Benefits.
2.3 Tax. Each party will be responsible, as required under Law, for identifying and paying all taxes and other governmental fees and charges (and any related penalties or interest) that are imposed on that party upon or with respect to the transactions and payments under these Program Terms. Stripe may deduct or withhold any taxes that Stripe determines it is obligated to withhold from any amounts payable to you under these Program Terms, and payment to you as reduced by such deductions or withholdings will constitute full payment and settlement to you of such amounts. You must provide Stripe with any forms, documents, or certifications as may be required for Stripe to satisfy any information reporting or withholding tax obligations with respect to any payments under these Program Terms.
3. General Provisions.
3.1 Term and Termination. These Program Terms take effect on the date Stripe approves your application for the Startup Program and continue until Stripe terminates them. Stripe may terminate these Program Terms at any time by notifying you.
3.2 Entire Agreement. These Program Terms are subject to and form part of the Agreement, and together form the entire agreement between the parties. If there is any conflict between these Program Terms and the Agreement, these Program Terms will prevail to the extent of the conflict. Capitalized terms not defined in these Program Terms have the meanings given to them in the Agreement.
3.3 Notices. Stripe may give notices about the Startup Program or under these Program Terms by email, or posting the notice in your Stripe Dashboard. Unless stated otherwise on the Startup Program Page, you must submit your notices to Stripe by opening a support case through the Stripe Dashboard.
3.4 Assignment. You may not assign or transfer any obligation or Benefit under these Program Terms without Stripe’s written consent. Any attempt to assign in violation of the prior sentence will be void in each instance. These Program Terms will be binding upon, inure to the benefit of, and be enforceable by the parties and their permitted assigns.
3.5 Right to Modify. Stripe may modify these Program Terms and the Startup Program at any time, solely with prospective effect. If you do not agree to a modification, you must immediately stop participating in (and accepting any Benefits from) the Startup Program. Your continued participation in, or acceptance of any benefits of, the Startup Program, constitutes acceptance of the modified Startup Program or Program Terms.
4. Definitions.
“Benefit” means a benefit provided under the Startup Program.
“Agreement” means the Stripe services agreement between you and Stripe, located at www.stripe.com/[countrycode]/legal/ssa, where “[countrycode]” means the two-letter abbreviation for the country where Stripe is located, or other written agreement with Stripe or its Affiliate governing your use of the Services.
“Startup Partner” means an accelerator, incubator, venture capitalist firm, or other organization with whom Stripe collaborates to provide Benefits under the Startup Program.
“Startup Program” means Stripe’s program designed to help early-stage, funded startups grow their business with Stripe.
“Startup Program Page” means a page on the Stripe Website where Stripe states Benefits descriptions and eligibility criteria, any additional terms and conditions of participating in the Startup Program, and other Startup Program information.
“Term” means the time period that begins on the Effective Date and ends when Stripe terminates these Program Terms according to Section 3.
