Stripe FA for Platforms Platform Preview Services Terms (UK)

These Stripe FA for Platforms UK Platform Services Preview Terms of Service (these “Stripe FA for Platforms Platform Terms”) supplement the Agreement and the Stripe Connect Terms, and govern your ability to offer the Stripe FA for Platforms Services to Connected Accounts. These Stripe FA for Platforms Platform Terms do not apply to your use of the Stripe FA for Platforms Services for your own business purposes. If you use the Stripe FA for Platforms Services for those purposes, then the Stripe FA for Platforms Accountholder Terms will apply to you as a Stripe FA for Platforms Accountholder, except that references to “Stripe Connect Platform” in those terms are also references to you. Capitalised terms used in these Stripe FA for Platforms Platform Terms that are not defined inline or elsewhere in the Agreement are defined in Section 12.

1. Stripe FA for Platforms Services.

You must offer the Stripe FA for Platforms Services only to eligible Connected Accounts for their business purposes.

1.1 E-Money Issuer.

Stripe PSP is the issuer of the E-money held by the Stripe FA for Platforms Accountholders. You may contact Stripe PSP by using the contact us link on the Stripe Website or sending mail to: Stripe, 201 Bishopsgate, London, EC2M 3AB. 

2. Access to the Stripe FA for Platforms Services.

You must not offer, market or otherwise make the Stripe FA for Platforms Services available to Connected Accounts located outside of the Stripe FA for Platforms Territory. You must ensure that no Connected Account uses the Stripe FA for Platforms Services outside of the Stripe FA for Platforms Territory.

3. Onboarding Connected Accounts.

3.1 General Responsibility.

You must ensure that each Connected Account that wishes to access the Stripe FA for Platforms Services successfully completes the onboarding requirements described in Section 3.2 of these Stripe FA for Platforms Platform Terms. Stripe must approve each Connected Account as part of the onboarding process before the Connected Account uses the Stripe FA for Platforms Services.

3.2 Information and Consent. 

You must:

(a) submit, or ensure that each Connected Account submits, all Stripe FA for Platforms Account Information that Stripe requests to verify and screen the Connected Account’s eligibility to access the Stripe FA for Platforms Services, and confirm that the Connected Account is not engaging in a Prohibited or Restricted Business;

(b) ensure that each Connected Account you intend to onboard as a Stripe FA for Platforms Accountholder agrees to the Stripe FA for Platforms Accountholder Terms before accessing the Stripe FA for Platforms Services. At Stripe’s request, you must provide proof as Stripe requires that the Stripe FA for Platforms Accountholder Terms are binding on the Connected Account. If Stripe believes that your existing acceptance process does not create a binding agreement between Stripe and the Connected Account, then, upon Stripe’s request, you must modify that process as Stripe requires;

(c) notify each Connected Account if Stripe approves its access to the Stripe FA for Platforms Services, and promptly notify a Connected Account that becomes a Stripe FA for Platforms Accountholder if Stripe suspends or terminates its access to the Stripe FA for Platforms Services; and

(d) notify Stripe FA for Platforms Accountholders of all changes to the Stripe FA for Platforms Accountholder Terms and ensure that those Stripe FA for Platforms Accountholders agree to them. If any Stripe FA for Platforms Accountholder does not agree to the modified Stripe FA for Platforms Accountholder Terms, then you must immediately stop making the Stripe FA for Platforms Services available to that Stripe FA for Platforms Accountholder.

4. Responsibility for Stripe FA for Platforms Accountholders.

You must ensure that Stripe FA for Platforms Accountholders, along with their FA for Platforms Authorised Users, comply with the Stripe FA for Platforms Accountholder Terms. Upon Stripe’s request, you must assist with enforcing the Stripe FA for Platforms Accountholder Terms against Stripe FA for Platforms Accountholders and FA for Platforms Authorised Users. You must ensure that Stripe FA for Platforms Accountholders implement and comply with any changes to the Stripe FA for Platforms Services, which Stripe will communicate to you.

5. Account Management and Support for Stripe FA for Platforms Accountholders.

5.1 Dashboard for Stripe FA for Platforms Accountholders.

You must provide and maintain a Stripe FA for Platforms Dashboard for use by Stripe FA for Platforms Accountholders. 5.2 Integration with Stripe API.

Promptly after Stripe notifies you that Stripe-hosted onboarding is available, you must integrate with the Stripe API according to the Documentation in a way that allows (a) a Stripe Entity to host onboarding of Stripe FA for Platforms Accountholders; and (b) you or Stripe, at your option, to be responsible for providing Stripe FA for Platforms Accountholder account management and access to the Stripe FA for Platforms Services.

5.3 Obligation to Pass On Information.

You must pass on to the Stripe FA for Platforms Accountholders, without changes or deletions, all information that Stripe makes available for you to pass on to them. You must ensure that all information, including account balances, transaction history and customer service issues, that you pass from the Stripe FA for Platforms Accountholders to Stripe and its Affiliates is accurate and complete.

5.4 Communicating Fees.

You must clearly communicate to each Stripe FA for Platforms Accountholder all fees (if any) that you charge that are related to the Stripe FA for Platforms Services, and specify whether or not those fees are passthrough fees from Stripe. Stripe may review the fees you charge your Stripe FA for Platforms Accountholders in connection with the Stripe FA for Platforms Services to determine whether the fees comply with Stripe’s requirements, applicable FA for Platforms Transfer Network requirements, and Law. If Stripe determines the fees do not comply, you must immediately modify the fees and reimburse the Stripe FA for Platforms Accountholder as Stripe directs.

5.5 Cross-Border Transfers Involving Currency Exchange

If a requested Financial Account Transaction requires a currency conversion, then the exchange rate used for that conversion will be determined as stated in the Documentation. Where currency conversion is part of a Financial Account Transaction, any quoted payout amounts and associated fees are estimates, and may fluctuate based on changes in the exchange rate that applies when the currency conversion takes place. You must clearly communicate to the Stripe FA for Platforms Accountholder the relevant information about the currency conversion as required in the Documentation and under the FA for Platforms Regulatory Requirements.

5.6 Confirmation of Payee

For any Confirmation of Payee requests, Stripe may permit or require you to reply on behalf of your Stripe FA for Platforms Accountholder, and Stripe is entitled to rely on your response to the same extent it would rely on the response of the Stripe FA for Platforms Accountholder. 

5.7 Support.

You must provide all support to Stripe FA for Platforms Accountholders and FA for Platforms Authorised Users according to the Stripe FA for Platforms Product Guidelines.

6. Compliance.

6.1 Generally.

You must: 

(a) make the Stripe FA for Platforms Services available to Stripe FA for Platforms Accountholders according to the FA for Platforms Regulatory Requirements; 

(b) ensure that Stripe FA for Platforms Accountholders and FA for Platforms Authorised Users access the Stripe FA for Platforms Services in compliance with the FA for Platforms Regulatory Requirements; 

(c) not, and must ensure that Stripe FA for Platforms Accountholders and FA for Platforms Authorised Users do not, take or fail to take any action that could cause Stripe or any of its Affiliates to violate any FA for Platforms Regulatory Requirement; 

(d) upon request, provide Stripe with a Stripe FA for Platforms Account on your platform, and enable access to features (as needed) that Stripe may use to test and monitor your use of, and compliance with, these Terms; and

(e) ensure that Stripe FA for Platforms Accountholders and FA for Platforms Authorised Users use the Stripe FA for Platforms Services for business purposes only.

6.2 Stripe FA for Platforms Product Guidelines.

You must (a) ensure that each Stripe FA for Platforms Accountholder complies with all Stripe FA for Platforms Product Guidelines; and (b) establish, maintain, and act according to a compliance program that will enable and ensure each Stripe FA for Platforms Accountholder complies with the FA for Platforms Regulatory Requirements and the Stripe FA for Platforms Product Guidelines.

6.3 Marketing.

You must not distribute or share any marketing materials relating to the Stripe FA for Platforms Services without Stripe’s prior approval. You must submit all marketing materials to Stripe using a process Stripe communicates to you. Stripe may provide template marketing materials to you, which you may use without further Stripe approval as long as the template marketing materials are not modified. 

6.4 Stripe FA for Platforms Accountholder Consents.

You must obtain all necessary rights and consents from each actual and prospective Stripe FA for Platforms Accountholder to (a) provide Personal Data to Stripe and its Affiliates; (b) allow Stripe and its Affiliates to collect, use, retain and disclose that Personal Data; and (c) allow Stripe and its Affiliates to exercise their rights and perform their obligations under these Stripe FA for Platforms Platform Terms and according to Stripe’s Privacy Policy. You must, when onboarding Stripe FA for Platforms Accountholders, (a) disclose to them that you may provide Personal Data to Stripe, and its Affiliates, and that Stripe and its Affiliates may collect, use, retain and disclose Personal Data in accordance with Stripe’s Privacy Policy.

7. Data Use

7.1 Data Collection. 

You must obtain and maintain all necessary rights and consents under Law to provide the User Information that you provide to Stripe about each of your (a) Principal Owners and employees, independent contractors and agents; and (b) Connected Accounts, Stripe FA for Platforms Accountholders and FA for Platforms Authorised Users.

7.2 Securing Account Data.

You must secure Personal Data in your possession or control, and you must ensure that your Stripe FA for Platforms Accountholders secure Personal Data in their possession or control. When stored or processed digitally, you must use appropriate organisational and technical measures to secure Personal Data in your possession or control, including through industry-standard encryption. You must monitor, and you must ensure that your Stripe FA for Platforms Accountholders monitor, for suspicious, fraudulent and unauthorised Financial Account Transactions on each Stripe FA for Platforms Accountholder’s Financial Account.

7.3 Responsibility for Stripe FA for Platforms Account Activity.

As between you and Stripe, you are responsible for all Stripe FA for Platforms Account Activity on your Stripe FA for Platforms Accountholders’ Stripe FA for Platforms Account. You are liable to Stripe for all losses, claims, fees, and penalties incurred by Stripe, including claims for reimbursement relating to authorised push payment fraud, arising from or relating to any Stripe FA for Platforms Accountholder’s or FA for Platforms Authorised User’s failure to: (a) prevent the unauthorised disclosure or use of Stripe FA for Platforms Account credentials, the unauthorised access of the devices on which they access their Stripe FA for Platforms Account; or (b) promptly report any unauthorised Stripe FA for Platforms Account Activity.

8. Disputes

8.1 Disputes API

Stripe will make the Disputes API Form available to you. You must either: (a) configure the Stripe API to make the Disputes API Form available to your Stripe FA for Platforms Accountholders; or (b) provide a channel through which Stripe FA for Platforms Accountholders can submit disputes to you. You must immediately submit any disputes you receive to Stripe through the Stripe API or the Stripe Dashboard.

You must not interfere with any Stripe FA for Platforms Accountholder’s ability to dispute a Financial Account Transaction.

8.2 Reporting Unauthorised Transactions.

If a Stripe FA for Platforms Accountholder believes that there are fraudulent or unauthorised transactions on a Financial Account, or that they have been the victim of an authorised push payment scam, you must immediately report any relevant Financial Account Transactions to Stripe by filing a dispute through the Stripe Dashboard or you must facilitate the Stripe FA for Platforms Accountholder in filing a dispute for any such Financial Account Transactions with Stripe.

8.3 Reporting Erroneous Transactions.

If you believe that a Financial Account was subject to an incorrectly executed or otherwise erroneous charge, the Stripe FA for Platforms Accountholder must first contact the merchant to resolve the dispute regarding the relevant Financial Account Transaction. If the Stripe FA for Platforms Accountholder is unable to resolve the dispute with the merchant, then you must file the dispute through your Stripe Dashboard or you must facilitate the Stripe FA for Platforms Accountholder in filing a dispute for the Financial Account Transaction through the Disputes API Form or another channel that you provide. Stripe FA for Platforms Accountholders must file disputes related to any incorrectly executed, erroneous or unauthorised Financial Transactions to Stripe within 13 months from the date the Financial Account Transaction appears on their Financial Account.

8.4 Determining Unauthorised Financial Account Transactions.

When a Stripe FA for Platforms Accountholder submits or reports an erroneous or unauthorised Financial Account Transaction, Stripe will evaluate the submitted information in accordance with Law. If Stripe determines, in its sole discretion, that the Financial Account Transaction was erroneous, incorrectly executed or unauthorised, Stripe will credit the amount of the applicable Financial Account Transaction back to the applicable Financial Account. You must abide by the determination of any dispute. You may not pass any costs or dispute fees you incur as a result of any fraudulent or unauthorised Financial Account Transactions on to a Stripe FA for Platforms Accountholder.

9. Representations and Warranties; PCI Compliance.

You represent as of the Effective Date, and warrant at all times during the Term, that you and your service providers that store, access or transmit Personal Data comply with the PCI Standards. Upon Stripe’s request, you must verify that your implementation of the Stripe FA for Platforms Services complies with the PCI Standards and promptly provide the most recent assessment results to Stripe.

10. Indemnification.

You will indemnify the Stripe Parties from and against any Claim, and indemnify the Stripe Parties for all Losses (including claims for reimbursement relating to authorised push payment fraud) arising out of or relating to (a) inaccurate or incomplete information provided to a Stripe Entity by or on behalf of you or any Stripe FA for Platforms Accountholder; (b) a Stripe FA for Platforms Accountholder’s breach of the Stripe FA for Platforms Accountholder Terms; (c) a negative balance or financial loss or damage caused by you or a Stripe FA for Platforms Accountholder; or (d) Financial Account Transactions.

11. Liability.

11.1 Stripe Liability.

Notwithstanding anything in the Agreement to the contrary, Stripe will not be liable to you, Stripe FA for Platforms Accountholder, Stripe FA for Platforms Administrators, or FA for Platforms Authorised Users for any losses, damages, or costs arising out of or relating to any FA for Platforms Payout Delay.

11.2 Your Liability for Stripe FA for Platforms Accountholders.

Notwithstanding any provision of this Agreement (including any precedence or interpretation clause), there is no limitation or exclusion in relation to your liability for Stripe FA for Platforms Accountholders, or for your failure to acquire binding acceptance by each Stripe FA for Platforms Accountholder of the Stripe FA for Platforms Accountholder Terms in accordance with this Agreement.

11.3 Termination.

These Stripe FA for Platforms Platform Terms automatically terminate if the Stripe Connect Terms terminate for any reason.

12. Definitions

Available FA for Platforms Balance” means the amount of funds that is available to be transferred or paid out of a Financial Account. 

Confirmation of Payee” means the service to validate a payee’s account name before initiating a payment. 

Disputes API Form” means an electronic form that enables you and Stripe FA for Platforms Accountholders to submit disputed Financial Account Transactions to Stripe.

FA for Platforms Authorised User” means an individual that a Stripe FA for Platforms Accountholder authorises to use the Stripe FA for Platforms Services. 

FA for Platforms Payout Delay” means a delay to a Financial Account Transaction caused by (a) the unavailability of a Financial Partner, Governmental Authority, telecommunications provider or internet service provider; (b) incorrect information, such as a bank account number, provided to Stripe; (c) your equipment, software, or other technology; (d) a delay or failure of a Financial Partner to settle a Financial Account Transaction to Stripe, including as a result of a Financial Partner’s default, insolvency, or bankruptcy; or (e) a Force Majeure Event.

FA for Platforms Regulatory Requirements” means Law, the rules of the FA for Platforms Transfer Networks and the PCI Standards.

FA for Platforms Transfer Networks” means the electronic transfer networks the Stripe FA for Platforms Services may use, credit card networks, and debit card networks.

Financial Account” means the E-money account that Stripe creates for a Stripe FA for Platforms Accountholder as part of the Stripe FA for Platforms Services. 

Financial Account Transaction” means a transaction in a Financial Account that adds to or subtracts from the Available FA for Platforms Balance.

Principal Owner” means, with respect to a legal entity, an individual who directly or indirectly, through any contract, arrangement, understanding, relationship, or otherwise, owns at least 25% of the equity interests of the legal entity.

Stripe FA for Platforms Account” means an account that Stripe creates for a Stripe FA for Platforms Accountholder as part of the Stripe FA for Platforms Services to enable the management of Financial Account(s).

Stripe FA for Platforms Account Activity” for purposes of these Stripe FA for Platforms Platform Terms, means any action taken on or related to a Stripe FA for Platforms Accountholders’ Financial Account that you, a Stripe FA for Platforms Accountholder, or Stripe FA for Platforms Authorised User initiates, submits or performs, either through the Stripe Technology or through the Stripe FA for Platforms Services, including any Financial Account Transaction.

Stripe FA for Platforms Accountholder” means a Connected Account, or Stripe Connect Platform using the Stripe FA for Platforms Services for your own business purpose, who has successfully completed the onboarding requirements described in the Stripe FA for Platforms Platform Terms.

Stripe FA for Platforms Account Information” means Personal Data or business information that a Stripe Connect Platform provides on behalf of its Connected Accounts to enable Stripe to: (a) determine the Connected Accounts’ eligibility to access the Stripe FA for Platforms Services; and (b) make the Stripe FA for Platforms Services available to Stripe FA for Platforms Accountholders.

Stripe FA for Platforms Administrator” means the individual that a Stripe FA for Platforms Accountholder appoints to manage the Stripe FA for Platforms Services on its behalf. 

Stripe FA for Platforms Dashboard” means a user interface a Stripe Connect Platform provides that enables a Stripe FA for Platforms Accountholder to manage its Stripe FA for Platforms Account and Financial Accounts.

Stripe FA for Platforms Platform Services” means the Preview Services that allow you to co-market the Stripe FA for Platforms Services to your Platform Users and provide access to the Stripe FA for Platforms Services to Stripe FA for Platforms Accountholders.

Stripe FA for Platforms Product Guidelines” means all product design, marketing, compliance, reporting and other guidelines and requirements established by a Stripe Entity from time to time in connection with the Stripe FA for Platforms Services.

Stripe FA for Platforms Services” (formerly “Stripe Treasury Services”) means the Preview Services that enable a Stripe FA for Platforms Accountholder to create and maintain a Stripe FA for Platforms Account where the Stripe FA for Platforms Accountholder can create Financial Accounts to (a) store, spend, and manage funds; and (b) make electronic payments and funds transfers to and from its Financial Accounts.

Stripe FA for Platforms Territory” means the United Kingdom.
