These Research Participation Terms (“Terms”) relate to your participation in a research study conducted by Stripe (“Study”) and forms a legal agreement between Stripe, Inc. (“Stripe”, “us”, “we” or “our”) and you or the entity you represent (“you” and “your”).
You should review these Terms each time you participate in a Study. We may update or change these Terms at any time and without notice to you. Each time you agree to participate in a Study you will be required to accept these Terms. The terms that apply to a study will be the Terms posted here at the time you accept them.
1. Participation in the Study. Your participation in the Study is voluntary and you may withdraw at any time. If you wish to discontinue your participation, please contact the Stripe representative who scheduled your sessions for the Study.
2. Information we collect. You acknowledge that Stripe may record you in any format during the Study, including your uses of our website or services, measurements, answers, communications, and voice and likeness through any means, such as audio, video, and screen captures (“Recordings”). By choosing to participate in the Study (and if asked, not objecting to being recorded) you consent to the Recordings. In addition to your information collected via Recordings, Stripe may also collect your information that you voluntarily provide to us, including your name, address, email address, phone number, professional background, company information (where you have the right to provide this information), opinions, and response to questions for the Study. Stripe’s Privacy Policy applies to the processing of your personal data and explains how and for what purposes Stripe collects, uses, retains, discloses and safeguards the personal data you provide to Stripe.
3. Use of information. Stripe and its affiliates may use the Recordings and any information collected from you as part of the Study: (i) to build or modify our website, products or services, (ii) create new products or features, (iii) promote Stripe services, and (iv) for events and other interactions with Stripe and its affiliates. By providing information to Stripe, you agree that you have the right to provide the information and Stripe has the right to use the information as described in these Terms.
4. Confidential Information. Stripe may share Confidential Information to you as part of the Study. You will protect and keep confidential any Confidential Information disclosed to you by Stripe, use it only in relation to your participation in the Study and not disclose it to any third party without our written consent. However, you will not be in breach of this section if you disclose Stripe’s Confidential Information to the extent required by law, court order or legal process, provided that you promptly inform Stripe of such a requirement and cooperate with all efforts by Stripe to obtain a protective order or similar treatment. “Confidential Information” means all non-public information relating to the business of Stripe or its affiliates (including non-public information about the features and functionality of its and its business partners’ products and services) disclosed to you or your affiliates in relation to the Study.
5. Retention of Rights. Nothing in these Terms grant any license or any other right under Stripe’s copyrights or patents. All Confidential Information is provided "as is" and without any warranty, whether express or implied, as to its accuracy or completeness, non-infringement or use for a particular purpose.
6. Feedback. You may choose to submit feedback, ideas, suggestions, comments, observations and other input to Stripe, including related to Stripe services and technology (“Feedback”). If you submit Feedback, you grant to Stripe and its affiliates a perpetual, worldwide, non-exclusive, irrevocable, royalty-free license to exploit that Feedback for any purpose, including developing, improving, manufacturing, promoting, selling and maintaining the Stripe services.. You also agree that Stripe has no fiduciary or any other obligation to you in connection with the Feedback you submit to us, and that Stripe is free to use your Feedback without any attribution or compensation to you. All Feedback is Stripe’s Confidential Information.
7. Severability. If any court or governmental authority determines a provision of these Terms is unenforceable, the parties intend that these Terms be enforced as if the unenforceable provision were not present and that any partially valid and enforceable provision be enforced to the extent that it is enforceable.
8. Waivers. To be effective, a waiver must be in a writing signed by the waiving party. The failure of either party to enforce any provision of these Terms does not constitute a waiver of that party’s rights to subsequently enforce the provision.
9. Injunctive Relief. Any violation or threatened breach of these Terms could cause irreparable harm for which Stripe has no adequate remedies at law. Accordingly, Stripe is entitled to seek specific performance or injunctive relief for the breach.
10. Governing Law. The laws of the state of California govern this Agreement, without giving effect to its conflict of law principles. Each party irrevocably submits to exclusive personal jurisdiction, and will bring all suits and actions under or in connection with this Agreement exclusively, in the federal courts of the Northern District of California and the state courts located in San Mateo County, California, and each party waives all objections to those jurisdictions and venues. In any action or suit to enforce or to interpret this Agreement, the prevailing party is entitled to recover the reasonable legal costs it paid to third parties.
11. Entire Agreement. This Agreement constitutes the entire agreement and understanding of the parties with respect to your participation in the Study.
