Terms and Conditions for Stripe's Payment Initiation Services for Pay by Bank

These general terms and conditions (these "Terms") apply for access to and use of the Services (according to the definition in the next paragraph) provided by Stripe Payments UK Ltd, ("Stripe", "we", "us", "our").

Stripe, an English limited company with its registered office in London, is an authorized electronic money institution that provides payment initiation services (the "Services"). Stripe provides the Services under an authorisation granted by the U.K. Financial Conduct Authority (reference number: 900461).

These Terms, together with other terms that you may come to accept while using the Services, constitute an agreement ("Agreement") between Stripe and you (the person using the Services) or the legal person you represent (if you use the Services on behalf of e.g., a company or organisation) ("you" or “your”). Please note the provisions in section 4.1 below regarding liability related to bank or other payment accounts (“Accounts”) that you hold together with someone else, or Accounts held by a legal person.

The Services are provided to you as a single service agreement and the Agreement is terminated as soon as we have performed the Service you requested, see section 9.

These Terms set out the contractual basis for your access to, and use of, the Services. These Terms provide certain information on the Services which is provided to you before you decide to use the Services. Please read through these Terms thoroughly before you agree to them and enter into the Agreement. If you do not accept these Terms, do not agree to them or use the Services.

1. General

1.1. By using the Services, you enter into the Agreement and confirm that you have read, understood and accepted these Terms.

1.2. To use the Services, you must be at least 18 years of age and/or otherwise be authorized to enter into the Agreement, and also agree to be bound by these Terms.

1.3. By using the Services, you authorize Stripe to access and collect the customer sort code, Account number, and Account holder name for the Account that you will have instructed your Account provider to initiate a payment from (the "Account Details"), in accordance with the instructions for the Service. When doing this, you give your explicit consent for and instruct Stripe to use the Account Details on your behalf to perform the Services in accordance with these Terms.

1.4. You are responsible for being authorized to use the Account Details and request the provision of the Services.

1.5. Access to the Services is provided to you through one or more merchants, that each in turn provide one or several of their own services to you (each, a "Merchant Service"). Please note that Stripe is only responsible for Stripe's provision of the Services to you, in accordance with these Terms. The Merchant Services are instead provided to you by the respective merchant in accordance with the terms and conditions that apply for the respective Merchant Service and are thus outside the scope of the Agreement. For more information regarding the functionalities of the Services, please see below. Information regarding Merchant Services should instead be sought from the respective merchant.

1.6. You approve that all communication with Stripe regarding the Services is either online, through our website, e-mail or other digital media. These Terms are available at https://stripe.com/gb/legal/consumer/pay-by-bank-payment-initiation-services. The primary language in which we will communicate with you regarding the Services is English, or the other official language in the market(s) in which the Services are provided to you.

1.7. To use the Services, you need to have access to an internet connection. The Services can be used with an average internet browser and do not require any special software.

2. Payment Initiation Service

2.1. Subject to the terms of the Agreement, Stripe permits you to use the Services to initiate a payment order from any of the Accounts at your Account providers which are accessible online, to Accounts of merchants that you make purchases from online. Certain maximum amounts (i.e., spending limits) may apply in relation to payment orders that are eligible to be executed via the Services. Where applicable, these will be set and notified to you by your Account provider rather than Stripe; you may contact your Account provider for further information.

2.2 We require your consent to provide the Services. Each time you request that we provide the Services (as set out below), you also give your explicit consent that we provide the Services to you. As the Services are provided instantaneously and we require you to provide consent each time you request the Services, you are not able to withdraw your consent once it has been granted.

2.3. Each time you wish to initiate a payment, you may request the Services by completing the following steps. Firstly, when selecting the “Pay by Bank” option at the online checkout, you will be prompted to select the Account provider you want to initiate the payment order from. By then clicking “Pay” or the equivalent, you approve our initiation of the payment and request provision of the Services and will then be redirected to your banking app (or web portal, in the case of a desktop transaction) to enter your Account credentials and complete the authorization process in the way required by your Account provider. Stripe will automatically populate the Account information about the payee. Finally, you will be notified that the payment is completed or not completed and then returned back to the merchant’s site.

2.4. A request to perform the Services (as described above), including the related payment order, is considered to be received by Stripe on the same day on which you approve the initiation of the payment. There is therefore no cut-off time for receipt of the order by Stripe.

2.5. The payment order received from you under the Services is intended to be initiated instantaneously by Stripe and the payment order may not be revoked through Stripe (i.e., you cannot withdraw or cancel your payment order, or your request for us to perform the related Services, once you have approved the initiation of a payment). After sending the payment order, Stripe will receive information from your Account provider about whether the payment was successfully initiated or rejected by your Account provider. You, and the merchant user, are then provided with a summary of the payment initiation, and at that time our Services have been completed. The Stripe merchant/payee will notify you if the Services cannot otherwise be performed.

2.6. Please note that the execution of the actual payment transaction is done by your Account provider and they may do this at a time, or day, other than the day you approve the payment initiation using the Services. The time for execution of the payment order is dependent on the specific Account provider’s execution time. As execution of the actual payment transaction is done by your Account provider, Stripe is not liable to you for non-execution or delayed or defective execution of payments.

2.7. It is your responsibility to ensure that the information you provide for the performance of the Services is correct and that you have sufficient funds on the selected Account.

2.8. If you suspect that a payment based on a payment initiation has been executed without your approval or that it has been performed incorrectly, you are responsible for, without undue delay after becoming aware of it, reporting it to your Account provider according to their instructions. It is your Account provider that may have to restore the balance, provided that you have informed your Account provider within any required timeframe. If you fail to do so, you may become liable for the transaction. Please note that if you are refunded the amount, unless the unauthorized use was not detectable prior to the payment or was caused by your Account provider or Stripe, you may still be liable for a maximum of £35. This limit does not apply where you have either acted fraudulently, or intentionally or negligently failed to keep your Account Details or payment instrument safe.

2.9. If you fail to notify your Account provider about any unauthorised or incorrect transaction:

  • without undue delay after becoming aware of such, or
  • within 13 months after the amount is debited to your Account,

you are liable for the entire amount.

Once you have notified your Account provider of the loss, theft, misappropriation or unauthorized use of your Account or payment instrument, you will not be liable for further unauthorized transactions until this is rectified.

2.10. You must protect your login details and your technical equipment. You can also become liable for unauthorised transactions if you failed to protect your login details and your technical equipment.

2.11. Where you are fraudulently misled into authorising a transaction to a merchant, you may be entitled to reimbursement for such a transaction. If you believe that you have been fraudulently misled, you should contact your Account provider where your Account is held according to their instructions. You must notify your Account provider promptly and always within 13 months (subject to any alternative requirements set by your Account provider).

3. Fees

Stripe provides the Services to you free of charge. Fees imposed by your Account provider, mobile phone operator or internet provider may apply.

The charges and other amounts, including any applicable taxes, payable by you to the merchant user will be provided by the merchant user as part of the Merchant Services. Please contact the merchant user or consult their terms and conditions for further details.

4. Additional information on your responsibility for usage of the Service

4.1. It is your responsibility to ensure that you have the right to use the Account provider login details and that you are authorized to request the Services. Please note that this also applies to Accounts that you hold together with someone else or Accounts held by a legal person (i.e., a company or other organisation).

4.2. In addition to the above, you agree to ensure that:

  • 4.2.1. your use of the Services is in accordance with these Terms and applicable laws and regulations.
  • 4.2.2. you keep your Account provider login details protected from unauthorised access.
  • 4.2.3. you protect your technical equipment from unauthorised usage, e.g. with pin code or your biometric characteristics (e.g. fingerprint reader).
  • 4.2.4. you immediately inform Stripe if you suspect or have knowledge about unauthorised usage of the Services or of your technical equipment.
  • 4.2.5. the information you provide in using the Services is accurate, up to date and complete.
  • 4.2.6. any information you provide in using the Services does not infringe the rights of anybody else, or in any other way violate applicable law or regulation, or someone else's rights.
  • 4.2.7. except where you are permitted to do so by applicable law or regulation, you do not copy, modify, decompile, reverse engineer, disassemble or decode the Services or any part of them, or any content within the Services.
  • 4.2.8. you do not distribute or publish the Services or any part of them, or any content within the Services, or in any other way misuse the Services or use them for any other purpose than they are intended for.
  • 4.2.9. you do not try to circumvent the security measures or other limitations of the Services.
  • 4.2.10. you do not use, copy, modify, delete or reproduce any copyright notice, trademark, service mark, logo or other intellectual property notices or information displayed in the Services.
  • 4.2.11 you do not access or use the Services in any way not expressly permitted by these Terms.
  • 4.2.12 you do not use the Services to engage in any activity that is illegal, fraudulent, deceptive, exploitative, or harmful.

5. Availability and our liability

5.1. We take reasonable steps to ensure that the Services are normally available around-the-clock, all days of the year. However, we cannot guarantee the Services are free from errors or interruptions, or that they will always be available. In particular, we temporarily shut down the Services for maintenance and similar activities from time to time.

5.2. Our aim is that all Services are performed correctly and all information in the Services is correct and as up to date as possible. However, Stripe cannot guarantee the reliability or accuracy of the information presented in the Services. Further, other than as set out in the Agreement and without limiting any rights and protections you may benefit from under mandatory law (including consumer protection legislation), we do not make any other commitments to you regarding the Services (e.g., we do not promise that the Services will be suitable for any specific needs you may have).

5.3 . Your ability to access and receive the Services can be dependent on services that a third party provides to you (e.g., Account provider, mobile phone operator or internet provider). We are not responsible for such services provided to you by a third party.

5.4. Stripe assumes no responsibility for any financial or other type of decision you take related to your use of the Services, or for services, goods or content you choose to purchase from third parties or Stripe's merchant users including by using the Services.

5.5. Stripe takes reasonable steps to protect the security of the Services but cannot guarantee that they will be free from viruses, malware or other security threats. You should take standard precautions to protect yourself, your equipment and Account information from such threats, including by using antivirus software on your devices.

5.6. Without limiting any rights and protections you may benefit from under mandatory law (including consumer protection legislation), to the extent permitted under applicable law or regulation: (a) Stripe is under no circumstances liable towards you or any third party for any indirect losses or damages (including any losses or damages that were not reasonably foreseeable when we entered into the Agreement); and (b) Stripe's total, aggregate liability for damages connected to your usage of the Services will never exceed GBP 50.

5.7. However, nothing in this section 5 or the rest of the Agreement restricts or limits Stripe’s liability where it would be unlawful to do so, including any liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

6. Processing of personal data

6.1. Capitalized terms used within this section but not defined in these Terms are defined in Stripe’s Privacy Policy available here. Stripe's provision of the Service includes processing of your Personal Data, as an End User. With your consent, Stripe will use and share your Personal Data as instructed by the Account provider to initiate a payment and provide the Service to you. The Personal Data may include your Account Details as described further above, contact information, payment information, transaction information, and other related information necessary to provide payment processing services.

7. Measures for customer due diligence etc.

7.1. In order to comply with applicable anti-money laundering rules, we may request that you provide us with certain information. By requesting a Service, you undertake to provide all such information as may be deemed by us as necessary for such purposes, and you understand that failure to provide requested information may result that a requested Service cannot be performed or other consequences, depending on the situation.

7.2. Stripe may, where permitted by and subject to applicable law or regulation, monitor your usage of the Services for the purpose of complying with anti-money laundering rules. The principles for such monitoring may vary from time to time and depend on the circumstances relating to merchant user and you, such as transaction patterns and similar.

8. Violation of Terms

8.1. If you violate these Terms or otherwise use the Services in a manner that may cause damage to Stripe or a third party, we are entitled to permanently terminate your access to the Service.

8.2. We reserve the right to suspend you from using the Services at any time if you violate these Terms or otherwise use the Services in a manner that may cause damage to Stripe or a third party.

8.3. In cases of suspected security risks, or if Stripe suspects that an initiated payment is unauthorised, Stripe may inform you in the manner deemed appropriate for the situation. Stripe also reserves the right to at any time block or restrict access to the Services if there is a risk of non-secure use of the Services, or in case of suspicion of unauthorised use of the Services. The same applies for suspected fraud or other illegal activity. Where there is a data breach impacting your personal data, Stripe will notify you without undue delay as required by applicable law or regulation (provided such notification would not be unlawful).

9. Term and termination

9.1. The Agreement is a single service agreement, which means that it is entered into separately on each occasion that you access or use the Services (i.e., for each payment order you initiate). Specifically, the Agreement commences when you enter into it as set out in section 1 above, and is automatically terminated as soon as we have performed the Services in relation to the relevant payment order.

10. Force Majeure

10.1. We are not responsible for delays or deficiencies in functionality or performance that we reasonably cannot anticipate or that is caused by circumstances outside our reasonable control (force majeure), including but not limited to events such as fire, flooding, explosion, riot, acts of war, hurricane, sabotage, acts of terrorism, vandalism, accidents, epidemic disease, government or governmental authority action, court injunction, strike or other similar events that may arise despite Stripe's reasonable effort to prevent, avoid, delay or mitigate effects of such events.

11. Changes; Amendments; Cessation of Services

11.1. We reserve the right to, at any time, change the Services (including in operating methods or technical specifications), amend these Terms or cease the provision of the Services.

11.2 Amendments to these Terms will come into force from the date on which you next accept these Terms (in accordance with section 1.1 above) or on such later date as notified or stated by us. Amendments to these Terms will not affect any in-flight payment instructions or Services. If you continue to use the Services after an amendment of the Terms has come into force, you are deemed to have accepted these amended Terms.

11.3 If you do not agree with the changes to the Services or accept the amended Terms (as applicable), you have the right to at any time cease using the Services, without penalty.

12. Miscellaneous

12.1. Stripe may, without your consent, freely assign and transfer the Agreement, including any of its rights and obligations under the Agreement, to another party but this will not affect your rights and protections under these Terms or applicable law or regulation. The Agreement will be binding on, inure to the benefit of, and be enforceable by the parties and their permitted assigns. Stripe also has the right to engage subcontractors for the fulfilment of its obligations.

12.2. You may not assign transfer any obligation or benefit under the Agreement without Stripe’s written consent. A person that is not a party to these Terms has no right to enforce any provision of the Agreement.

12.3. These Terms are available at the Website. You also have a right to, upon request, receive a copy of these Terms. You are welcome to contact us with your request.

12.4. Additional, statutory information about the Services may be provided on our Website, or via email when the information is requested by you.

12.5. If any court or governmental authority determines a provision of the Agreement is unenforceable, the parties intend that the Agreement be enforced as if the unenforceable provision were not present, and any partially valid and enforceable provision be enforced to the extent that it is enforceable.

12.6. To be effective, a waiver must be in writing signed by the waiving party. The failure of any party to enforce any provision of the Agreement will not constitute a waiver of that party’s rights to subsequently enforce the provision.

12.7. When the Agreement terminates, any provision that by its nature is intended to continue after termination (including the limitations and restrictions on liability) will continue in effect.

13. Governing law and dispute resolution

The laws of Ireland will govern the Agreement but you will retain any rights and protections that you are entitled to under mandatory law (including consumer protection legislation) in your country of residence.

If not prohibited by the laws of your country of residence, disputes shall be settled by Irish courts, although if you are a consumer (i.e., not a business user) residing in the European Union or United Kingdom then you may also raise a dispute in your local courts.

14. Complaints and Supervision

14.1. We care about our customers. Therefore, we are keen to answer your questions or to know if you are dissatisfied with us and our goal is to address all inquiries as soon as possible. If your complaint is unresolved, you may be entitled to refer to the Financial Ombudsman Service (FOS). Further information on the FOS, contact details and the eligibility requirements can be located at our Complaints Policy and at www.financial-ombudsman.org.uk.
