Stripe Tax: Tax Registration Terms

These Tax Registration Terms (“Terms”) form a legal agreement between Stripe, Inc. (“Stripe”) and you or the entity you represent (“you” and “your”). The Stripe Services Agreement (or other equivalent agreement that you have agreed to with Stripe) is incorporated into these Terms by this reference. Capitalized terms not defined in these terms (either inline or by hyperlink), are defined in the Stripe Services Agreement. To the extent that there is a conflict between the Stripe Services Agreement and these terms related to your use of the Tax Registration Services, these Terms will prevail.

Please review these Terms each time you make a purchase. We may update or change these Terms at any time and without notice to you. The terms that apply to each purchase will be the Terms posted here at the time you place your order.

1. Service Terms

These Terms apply to your use of the Tax Registration Services. If you have entered any agreements with your customers or users that require amendment in order to allow you to implement the Tax Registration Services, you must make such amendments before you use the Tax Registration Services.

2. Your Use of the Tax Registration Services

You must only use the Tax Registration Services in compliance with these Terms. You will provide Stripe the Tax Registration Information and Stripe may (a) use and store the Tax Registration Information in accordance with these Terms and our Privacy Policy; and (b) use and store information you submit to us, including Tax Registration Information, to provide the Tax Registration Services. 

3. Agent; Power of Attorney. 

For purposes of these Terms, and solely to access and use the Tax Registration Information to provide the Tax Registration Services, you grant Stripe a limited power of attorney, and appoint Stripe as your attorney-in-fact and agent, with the full power and authority to perform all required activities in connection with providing the Tax Registration Services, as you could otherwise do yourself or in person. 

4. User responsibilities

You must ensure: 

(a) all Tax Registration Information you provide us is accurate and complete, 

(b) you respond promptly, within 7 days, to any inquiries or requests for clarification we reasonably require in connection with the Tax Registration Services; 

(c) you maintain sufficient funds in its bank account to pay the relevant sales tax registration fees to a state authority;

(d) you pay all associated fees and costs that the relevant state tax authorities required for state tax registration, and

(e) you sign any additional documents we may reasonably require to provide the Tax Registration Services, including any additional powers of attorney required by a state authority. Stripe is not liable for any issues, discrepancies or delays that may arise due to the provision of incorrect Tax Registration Information. 

5. Fees.

The fees for your use of the Tax Registration Services, if any, are listed in the user interface for the registration flow or Stripe Dashboard. Stripe may collect the fees for the Tax Registration Services in any way permitted under the Stripe Services Agreement. If these Terms terminate due to Stripe making Tax Registration Services publicly generally available, pricing on the Pricing Page will apply to your subsequent use of the Tax Registration Services. All fees and delivery of the Tax Registration Services are subject to any applicable refund policies as listed in the Documentation. 

6. Disclaimers

6.1 Beta Services. Unless or until Stripe notifies you otherwise, Tax Registration Services are Beta Services as defined in the Stripe Services Agreement.

6.2 Reliance. Your reliance on the Tax Registration Services is at User’s own risk. Stripe is not liable for any losses, damages, or costs arising out of or relating to the accuracy (or inaccuracy) of the Tax Registration Services, and any actions that you may take based on the Tax Registration Services.

6.3 Information Accuracy. Stripe will not validate, and is not responsible for, the accuracy of the Tax Registration Information User or its Connected Accounts provided to Stripe. 

You understand, acknowledge and agree that:

(a) Stripe does not provide legal, tax or accounting advice, including legal or professional tax opinions or management advice,

(b) You alone are responsible for all corporate, tax, securities and other legal reporting, payment and compliance aspects of your personal and business activities. You are responsible for conducting your own due diligence and seeking the assistance of a qualified legal, tax, or accounting professional, and

(c) All information, forms, and materials provided in connection with the Tax Registration Services are provided to you for informational and educational purposes only and do not constitute tax, accounting or legal advice.

8. Definitions

“Tax Registration” means the process of registering you with the taxing authority in an applicable state in the Territory for the purpose of reporting and remitting sales tax. 

“Tax Registration Information” means all information necessary required by the state tax authority to legally collect and remit sales tax on taxable goods and services and to provide the Tax Registration Services, including information relating to your business, products and operations; company representatives, directors, officers and equity owners; passwords; usernames, PINs and other log-in information; banking information; materials and other content.

Tax Registration Services” means the service of Tax Registration, which is a one-time registration effort and does not include any maintenance of such registrations. 

Territory” means the United States of America.
