These Developer Terms for Stripe Projects (“Stripe Projects Developer Terms” or “Terms”) are an agreement between Lemon Squeezy LLC (“PSCo”) ( "us", "our", "we", or "Stripe") and you, the individual using Stripe Projects. These Stripe Projects Developer Terms apply when you first install the Project plugin.
Scope and Applicability
These Stripe Projects Developer Terms apply if you authorize an Agent to access Stripe Projects. By authorizing an Agent to access Stripe Projects, you agree to be bound by these Terms and any new features or tools that are added will also be subject to these Terms. These Terms may be updated from time to time. We will use reasonable efforts to notify you of material changes to these Terms in advance of their effectiveness, including by posting notice, where applicable, or providing notice via an email address associated with you. The revised Terms will be effective on the date stated in the revised Terms.
Definition of Agent
For the purposes of these Terms, “Agent” shall mean any software, computer or other automated technology, including any such technology that operates through, in conjunction with, or by invoking other automated systems, platforms, APIs, or agents, whether or not you have direct control over or visibility into each intermediate system in the chain, that is capable of, designed for, or employed for the purpose of independently or semi-independently acting as your delegate, proxy, intermediary, or agent in any transactional activity, whether in a single transaction or across multiple ongoing transactions. You acknowledge that your Agent constitutes an "electronic agent" or equivalent concept as defined or recognized under the laws of your jurisdiction, including the Uniform Electronic Transactions Act (UETA) and similar statutes, and that transactions initiated or completed by your Agent are legally binding upon you.
Authorization of Agent Transactions
When you use an Agent to purchase services from a Provider, you authorize your credit card, debit card, bank account, or other payment method on file to be charged for the purchase of those goods or services. You agree that Stripe will obtain an authorization to cover the cost of the services you have purchased from the Provider and that you will be charged for the services you purchase and any applicable taxes and fees.
You are solely responsible for each transaction initiated by or through the Agent. You acknowledge that by granting an Agent access to your Account, you are permitting the Agent to utilize your personal data to initiate transactions in accordance with your instructions. You acknowledge that the Agent may use any provisioned payment information within your Account to complete the transaction. You are responsible for all transactions completed through your Agent using your Account credentials.
Consent to Sharing of Personal Data with Providers
You expressly consent to the sharing of your personal data with the Providers to the extent necessary to facilitate the Agent’s services on your behalf. The personal data shared may include, without limitation:
- account information, such as your name, email address, and mobile phone number,
- provisioned payment information, such as the name of your credit or debit cards and the last four digits of the card numbers, bank account names and last four digits of the account number, and billing address,
- shipping information, and
- information related to your order, such as information related to your purchase, such as order date, amount, and product details.
We will use all personal data we collect about you in accordance with our Privacy Policy. You acknowledge that once your personal data is shared with the Agent, the Agent’s use of your data will be governed by the instructions, parameters, and settings you set for your Agent, or the Agent’s Privacy Policy if applicable. We are not responsible for the Agent’s handling, use, storage, or disclosure of your personal data after it has been shared.
Roles and Responsibilities
Stripe Projects ("Stripe Project(s)") is a Stripe service that enables you to discover, provision, configure, and manage third-party software services, infrastructure, and developer tools ("Provider Services") through the Stripe command-line interface, Stripe APIs, Stripe Dashboard, or through integrated third-party development environments. Provider Services are offered by independent third-party software vendors, infrastructure providers, and service operators who have made their services available through the Stripe Apps platform ("Providers"). Stripe is the orchestrator of Stripe Projects. Unless you are provisioning separate services offered by Stripe or its affiliates, Stripe is not a Provider, seller, reseller, licensor, or distributor of any Provider Service. When you provision a Provider Service through Stripe Projects, you are entering into a direct service relationship with the applicable Provider, governed by that Provider's own terms of service, privacy policy, and acceptable use policy. Stripe does not control, operate, maintain, warrant, or guarantee any Provider Service. Stripe does not screen, audit, endorse, or certify the quality, reliability, security, fitness for purpose, or legal compliance of any Provider Service. The availability, performance, uptime, data handling practices, and support for each Provider Service are solely the responsibility of the applicable Provider.
Each time you provision a Provider Service through Stripe Projects, you acknowledge and agree that:
- You are the Provider's customer, and the Provider — not Stripe — is responsible for delivering the Provider Service to you in accordance with the Provider's own terms;
- The Provider is the merchant of record for all charges related to your use of the Provider Service, and any charges to your payment method are charges by the Provider, facilitated through the Stripe Payment Token mechanism and processed through the Stripe and PSCo payment infrastructure;
- Stripe will share limited information about you with the Provider as necessary to fulfill your provisioning request, which may include your name, email address, Stripe account identifier, and payment token, and you authorize such disclosure;
- The Provider's terms of service, privacy policy, and acceptable use policy govern your use of the Provider Service, and it is your responsibility to review and accept such terms before or at the time of provisioning — your decision to provision a Provider Service through Stripe Projects constitutes your acceptance of the applicable Provider's terms as presented to you during the provisioning process;
- Disputes regarding Provider Services are between you and the Provider, and while Stripe may, in its sole discretion, assist in facilitating communication between you and a Provider, Stripe is not a party to and has no obligation to resolve any dispute arising from your use of a Provider Service; and
- Stripe may suspend or remove any Provider or Provider Service from Stripe Projects at any time and for any reason, including for violations of Stripe's platform policies, and such suspension or removal may affect your ability to access, use, or manage previously provisioned instances of that Provider Service.
You are Responsible for Your Agent
Agent connectivity is provided on an “as is” basis. You are responsible for ensuring that any Agent you use is trustworthy. You acknowledge and agree that your use of an Agent is subject to that Agent’s terms of service, privacy policy, and security practices. We assume no responsibility for and make no representations as to the terms of use and privacy and security practices employed by any Agent. You acknowledge and agree that you are responsible for all Agent-initiated transactions as if you had taken the action yourself, even if you did not authorize or review the transaction, those transactions exceed the Agent’s authority, those transactions were caused by bugs, hallucinations and/or misinterpretations, or your provided instructions or consent, except in the case the transaction is the result of our technical error. This paragraph applies whether or not your Agent is acting alone or in concert with other agents or automated systems. You are solely responsible for terminating your Agent’s authority.
If you believe that an Agent-facilitated translation was unauthorized, you should report it immediately to the Provider.
Miscellaneous
Stripe reserves the right, in its sole and absolute discretion, to suspend, restrict, or terminate your access to Stripe Projects, in whole or in part, at any time, for any reason or for no reason, with or without notice, and without incurring liability to you.
You are solely responsible for ensuring that your access to and use of Stripe Projects — including your deployment of any Agent (as defined herein), your provisioning and use of Provider Services, and any transactions initiated through the Stripe Payment Token mechanism — complies with all applicable laws, regulations, directives, orders, and binding guidance in each jurisdiction in which you operate or in which your applications, services, or end users are located.
You represent that you are acting in your capacity as a business, developer, or professional, and not as a consumer, in all interactions with Stripe Projects. You agree to not use the Provider Services for personal, family, or household purposes. You acknowledge that Stripe relies on this representation in making Stripe Projects available to you and in structuring the terms, rights, and obligations herein.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COVERED SERVICES AND CONTENT ARE PROVIDED “AS-IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND EXCLUSIVE OF ANY WARRANTY WHATSOEVER WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. STRIPE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. STRIPE DISCLAIMS ALL LIABILITY FOR ANY HARM OR DAMAGES CAUSED BY ANY THIRD-PARTY HOSTING PROVIDERS.
EXCEPT AS MAY BE REQUIRED BY APPLICABLE LAW, IN NO EVENT SHALL STRIPE HAVE ANY LIABILITY TO DEVELOPER FOR ANY DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO DIRECT, INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR DAMAGES BASED ON LOST PROFITS, DATA OR USE, HOWEVER CAUSED AND, WHETHER IN CONTRACT, TORT OR UNDER ANY OTHER THEORY OF LIABILITY, WHETHER OR NOT DEVELOPER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
The services may contain bugs or errors. Any participation in or use of Stripe Projects is at your sole risk.
We reserve the right to change these Terms at any time at our discretion. We will give you notice of the changes by posting an updated version of these Terms online or by emailing you at an email address you have provided. Any other changes to the Terms will be effective 15 days after we post them or otherwise notify you of them, unless we specify a different effective date when we make a particular change.
You may be or become entitled to receive access to other Stripe services under a separate agreement with Stripe. In that case, a separate agreement will govern your access to separate Stripe services, but will not govern your access to Stripe Projects.
You must not assign your rights or obligations under these Terms to anyone without our prior written consent. We may delegate performing our obligations, and we may assign our rights and novate our obligations under these Terms to Stripe affiliates, at any time for any reason by providing notice to you.
These Terms shall be governed exclusively by the internal laws of the State of California, without regard to its conflicts of laws rules. Each party hereby consents to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California to adjudicate any dispute arising out of or relating to these Terms.
All disputes, claims, and controversies, whether based on past, present, or future events, including those arising out of or relating to statutory or common law and the breach, termination, enforcement, interpretation, or validity of any provision of this Agreement, will be determined by binding arbitration by a single arbitrator. All disputes, claims, and controversies principally related to a party’s IP Rights will be resolved by litigation. The parties submit to the non-exclusive jurisdiction of the courts specified in these Terms for these disputes, claims, and controversies. Making claims with law enforcement or governmental enforcement agencies, exercising any self-help remedies (such as setoff rights), or seeking injunctive relief or provisional remedies in aid of arbitration from a court of appropriate jurisdiction, does not constitute a waiver of any right to compel arbitration. Arbitration will be conducted in English. Subject to the limitations of liability in this Agreement, the arbitrator may award monetary damages and any other remedies allowed by the laws of the State of California. The arbitrator will not have the authority to modify any term or provision of this Agreement. The arbitrator will deliver a reasoned, written decision with respect to the dispute to each party. Any award will be final and binding on the parties and will be deemed to have been made at the seat of arbitration, and each party will act promptly in accordance with the award. Any award (including interim or final remedies) may be confirmed in or enforced by any court having jurisdiction over either party or its assets. Before commencing arbitration, the party asserting a claim must send a written notice of dispute to the other party. All dispute notices to Stripe must be sent to notices@stripe.com. All dispute notices to You will be sent to the email address provided. All notices must (i) provide Your name, email address, mailing address, and Stripe account ID (if any); (ii) describe the nature and factual and legal basis of the dispute; and (iii) detail the specific relief sought. If you appoint an attorney to submit its notice, you must provide written authorization allowing Stripe to discuss your dispute and account details with your attorney. Stripe may require you (or your attorney) to verify your identity and confirm your authorization to disclose account information. You will cooperate with any reasonable verification request. After notice of arbitration is provided, the parties will meet for the purpose of resolving the dispute and, if the dispute is not resolved within 30 days of the notice, then a party may commence arbitration in accordance with the applicable rules. The parties will keep confidential the existence of the arbitration, the details of the arbitration proceeding, the hearing, and the arbitrator’s decision except: (i) as necessary to prepare for and conduct the arbitration hearing; (ii) in connection with a court application for a preliminary remedy, confirmation, vacatur, or modification of an arbitrator’s award; (iii) the Stripe may disclose the arbitrator’s decision in confidential settlement negotiations related to other disputes; (iv) as necessary to professional advisers that are subject to a strict duty of confidentiality; and (v) as applicable law otherwise requires. The parties, witnesses, and arbitrator will treat as confidential and will not disclose to any third person (other than witnesses or experts) any submissions, documentary, or other evidence produced in any arbitration, except as required by applicable law or if the evidence was obtained from the public domain or was otherwise obtained independently from the arbitration.
Notwithstanding the foregoing, Stripe will be entitled to seek injunctive remedies or other types of urgent legal relief in any jurisdiction. There are no third-party beneficiaries under these Terms.
No modification, amendment, or waiver of any provision of these Terms shall be effective unless in writing and signed by the party against whom the change is to be asserted. In the event of any conflict or inconsistency among the following documents, the order of precedence shall be: (1) the body of these Terms, including terms or agreements incorporated by reference, and (2) the Documentation. Titles and headings of sections of these Terms are for convenience only and shall not affect the construction of any provision of these Terms.
You agree to the Stripe E-SIGN Disclosure. It provides that we will communicate with you electronically. Your electronic agreement has the same effect as if you sign in ink, and you agree to receive notices through Stripe Projects.
You may only enter into these Terms if you are over the age of majority and able to enter into a legally binding contract in your country of residence. You must not use Stripe Projects if you have previously been terminated or suspended from using any service provided by Stripe or its affiliates. You may not enter into the Terms or use Stripe Projects if you are the target of government sanctions, such as those applied by the U.S. Department of the Treasury Office of Foreign Assets Control, or any other national government.
You agree that all information you or your Agent provide about yourself and your use of Stripe Projects must be complete and accurate as of the time provided, and you must keep this information up-to-date. To the extent law allows, we and our service providers may verify your identity. You must notify us immediately if you become aware of any unauthorized use or access to your account.
We reserve all rights not expressly granted to you in these Terms. Stripe Projects is protected by trademark, copyright, patent and other laws of the United States and other countries. We own all rights, title, interest in and to Stripe Projects and all copies of Stripe Projects, and all Intellectual Property Rights in them. Your use of Stripe Projects is subject to these Terms, and these Terms do not grant you any rights to our Intellectual Property Rights or the Intellectual Property Rights of our licensors, licensees, or partners. For the purposes of these Terms, "Intellectual Property Rights" means all patent rights, copyright rights, mask work rights, moral rights, rights of publicity, trademark, trade dress and service mark rights, goodwill, trade secret rights, and other intellectual property rights that may exist now or come into existence in the future, and all of their applications, registrations, renewals and extensions, under the laws of any state, country, territory or other jurisdiction.
You may choose to submit feedback, ideas and suggestions about Stripe Projects, but it is never required. You may provide us with feedback on Stripe Projects by contacting support. You agree that we may use, integrate, and share all feedback, ideas, and suggestions you submit for any purpose and without compensation or obligation to you. You assign to us all rights, title and interest to any feedback, ideas and suggestions, including the right to use, modify and integrate them in any manner.
