These STEL Acquirer Terms are additional terms applicable to the Stripe Payment Services for Visa and Mastercard products for which Stripe Technology Europe, Ltd. ("STEL") is a Payment Method Acquirer (“VM Payment Processing Services”). In these STEL Acquirer Terms, Visa Inc. ("Visa") and MasterCard Europe SA ("Mastercard") may be referred to individually as a “Network” and collectively as the “Networks”, and the rules issued by a Network are the “Network Rules.” Any terms used but not defined in these STEL Acquirer Terms will have the meaning provided in the Stripe Services Agreement ("Agreement").
These STEL Acquirer Terms constitute a legal agreement between you and STEL which is formed by STEL's offer of these terms to you, your acceptance of these terms, and STEL's subsequent provision of VM Payment Processing Services to you. You understand that Stripe or STEL may enforce any provisions of the Agreement that relate to your use of the VM Payment Processing Services (and you acknowledge you are directly responsible to STEL under the Agreement for any liability to STEL caused by your breach of the Agreement). STEL may also terminate these STEL Acquirer Terms at any time, which may limit or terminate your ability to use VM Payment Processing Services.
These STEL Acquirer Terms incorporate, by reference, the terms of the Agreement, except that in each case “Stripe” will be deemed to be a reference to STEL, and the application of the incorporated terms will be limited to STEL’s provision of the VM Payment Processing Services under the Agreement.
All other parts of the Services will remain governed by the Agreement between you and Stripe Payments Europe, Ltd.
You must accept all of the terms and conditions of these STEL Acquirer Terms to use the VM Payment Processing Services provided by STEL. If you do not accept them, you may not use the VM Payment Processing Services under these STEL Acquirer Terms.
Card Network Compliance and Disclosure
a. Important Member Disclosures: STEL discloses that:
• it is the only entity approved to extend acceptance of Visa and Mastercard products directly to you under these STEL Acquirer Terms;
• it must be a principal (signer) to these STEL Acquirer Terms;
• it is responsible for educating you the Network Rules with which you must comply, but this information may be provided to you by Stripe;
• subject to Section 3 of these STEL Acquirer Terms, with respect to Transactions processed through the VM Payment Processing Services, it is responsible for and must provide settlement funds to you (for further information, see Section 3); and
• with respect to Transactions processed through the VM Payment Processing Services, it is responsible for all funds held in reserve that are derived from Settlement funds prior to funding you.
b. Your Responsibilities: In addition to any other responsibilities set out in these STEL Acquirer Terms, you agree that, at all times throughout the term of these STEL Acquirer Terms, you will:
• comply with the PCI Standards in using and maintaining Payment Account Details;
• maintain fraud and Dispute rates acceptable under the Network Rules;
• review and understand the terms of these STEL Acquirer Terms; and
• comply with the Network Rules and Laws.

1. Purpose of these STEL Acquirer Terms
When you process your first Visa or Mastercard Transaction through a particular Payment Method Acquirer, applicable Network Rules require that you enter into a direct contractual relationship with the Payment Method Acquirer. These STEL Acquirer Terms constitute your direct contractual relationship with STEL which is a member of the Networks and a Payment Method Acquirer for Visa and Mastercard Transactions. In accordance with the requirements of the Network Rules, these STEL Acquirer Terms are offered and effective, and your direct contractual relationship with STEL is established, as provided in the introductory paragraphs above.
2. Compliance with Network Rules
Where you use the VM Payment Processing Services to accept charges from VM Payment Cards, you must comply with the Network Rules and limitations on use identified in the Agreement, including the guidelines, monitoring programs, and activity reporting (including excessive credits, Disputes, or deposits). Under the Network Rules, certain activity may subject you to chargebacks, fees, fines, settlement delays, withholdings, audits of your processing activity, or termination of these STEL Acquirer Terms and the Agreement. Without limiting the foregoing, you specifically agree to:
i. Only submit Transactions authorized by the cardholder;
ii. Only accept payment for the sale of products or services, and receipt of bona fide donations, and not for any Restricted Business, unless you have received prior written approval from Stripe;
iii. Submit a Transaction for the full amount owed by the Customer for the Transaction except where you and the Customer agree on a partial shipment (such as receiving a portion of an order), or where the Transaction qualifies for delayed delivery or special order deposits (such as paying for a deposit on a custom-built product);
iv. Not establish minimum or maximum amounts (except as permitted by the Network Rules), or condition charges for use of VM Payment Cards, and not discourage the use of one VM Payment Card brand over another;
v. Not impose surcharges or taxes (except where permitted by Law and Network Rules) and, where so done, you will only collect such amounts as part of the submitted charge;
vi. Only use the Networks' logos or marks in a manner permitted by the Network Rules;
vii. Not submit a Transaction that represents collection of a dishonoured check;
viii. Prohibit use of payment cards for disbursement of cash (except as permitted by the Network Rules and approved by Stripe);
ix. Comply with the security obligations identified in the Agreement, including compliance with the PCI Standards and only use cardholder data as permitted, and certify such compliance upon request, and not permit or promote fraudulent use of VM Payment Cards or cardholder data;
x. Make clear to Customers that they are transacting with you prior to, during, and after the Transaction, including providing clear statement descriptors;
xi. Use all reasonable methods to resolve disputes with your Customers, including those resulting in a Dispute, and not attempt to recharge a Customer for a Transaction that was previously charged back and subsequently returned to you unless the recharge is expressly authorized by the Customer; and
xii. Provide clear refund and exchange language that is consistent with Laws and the Network Rules.
3. Authorization for Handling of Funds
You authorize STEL, as your designated agent, to initiate holds, receipts, and disbursements of funds it receives (on your behalf) from the Networks for settlement of your VM Payment Cards ("Settlement Funds"). You also authorize Stripe to instruct STEL, on your behalf as your agent, on how and when disbursements of Settlement Funds should be made. STEL's obligations to settle funds to you are satisfied upon transfer of the Settlement Funds to you per your explicit request and authorization as your agent. Settlement funds will be held in pooled merchant accounts pending disbursement of the funds to you (or to any applicable recipient that you have instructed Stripe to make a disbursement to on your behalf) in accordance with the terms of the Agreement, including these STEL Acquirer Terms. You agree that you are not entitled to any interest or other compensation associated with the Settlement Funds, that you have no right to direct STEL to distribute Settlement Funds, and that you may not assign any interest in Settlement Funds held by STEL. STEL may periodically make information available to you through Stripe regarding anticipated funds settlement from the Networks. This settlement information does not constitute (or give rise to) a deposit or other obligation owed by Stripe or STEL to you. Any settlement information communicated to you is for reporting and informational purposes only. You are not entitled to access, and have no ownership or other rights in, the Settlement Funds prior to such funds being credited to the User Bank Account (or to the account of any applicable recipient that you have instructed Stripe to make a distribution to on your behalf). Any authorizations set out in these STEL Acquirer Terms will remain in full force and effect until your Stripe Account is closed or terminated.
4. Sharing of Data
a. You authorize Stripe and STEL to provide any Protected Data to each other, the Networks, fraud and AML screening agencies and other relevant governmental bodies to (i) provide the VM Payment Processing Services, (ii) comply with legal and regulatory obligations, and (iii) perform underwriting and risk review, including verification that you are legally permitted to transact and receive funds. Where required to comply with our obligations under Laws or the Network Rules, STEL may provide any data to law enforcement, the Networks, or Governmental Authorities. This authorization is provided in accordance with the General Data Protection Regulation (GDPR) (Regulation (EU) 2016/679).
b. You agree that you will not (i) use the Payment Account Details for any purpose other than to support VM Payment Processing Services, (ii) use the Payment Account Details for any purpose that you know or should know to be fraudulent or in violation of any Network Rules, (iii) sell, purchase, provide or exchange in any manner or disclose Payment Account Details to anyone other than STEL or the Networks (as applicable), or in response to a government request. Further, you agree that you will at all times comply with the PCI Standards with respect to Payment Account Details and will indemnify and hold STEL harmless for any violation or breach of the PCI Standards, including but not limited to, any fines, fees or assessments by any Networks imposed upon you, STEL, or Stripe.
c. Stripe's Privacy Policy explains how and for what purposes Stripe collects, uses, retains, discloses, and safeguards the Personal Data you provide to Stripe. You agree to review the terms of the Privacy Policy, which Stripe updates from time to time.
5. Term and Termination
These STEL Acquirer Terms will become effective as described in the introductory paragraphs and will remain in effect so long as you use the VM Payment Processing Services. These STEL Acquirer Terms will terminate automatically upon termination of the Agreement, except for those terms which are intended to survive termination. In addition, the VM Payment Processing Services and these STEL Acquirer Terms may be terminated at any time by STEL, as provided in the introductory paragraphs.
6. Representations and Warranties
In addition to the representations and warranties made in the Agreement, you represent as of the Effective Date and warrant to STEL during the term of the VM Payment Processing Services that: (a) you are legally able to enter into these STEL Acquirer Terms, (b) you will not use the VM Payment Processing Services, directly or indirectly, for any fraudulent or illegal undertaking; and (c) you will only use the VM Payment Processing Services in a manner consistent with the Agreement, including these STEL Acquirer Terms, the Documentation, and the Network Rules.
7. Restrictions on Usage
You may not use the VM Payment Processing Services from, or on behalf of persons or entities (a) in a country embargoed by the UK or any member state of the European Economic Area or (b) blocked or denied by the UK or any member state of the European Economic Area. You further acknowledge and agree that you will not use your Stripe Account and/or the VM Payment Processing Services for illegal transactions or in connection with illegal activity of any kind. Unless otherwise explicitly stated, Services are solely for use by individuals, companies, or other entities located (as defined under applicable law and Network rules) in the European Economic Area.
Notwithstanding anything to the contrary in these STEL Acquirer Terms, STEL may decline to process any Transaction submitted by you in its sole discretion, for example; if the relevant Transaction exceeds STEL’s risk tolerance taking into account all relevant factors, including STEL’s (i) legal and regulatory requirements, (ii) commercial partnerships, (iii) operational factors, or if the relevant Transaction is associated with a Restricted Business or would otherwise violate the terms of the Agreement.
8. Dispute Resolution
All disputes under these STEL Acquirer Terms are subject to the applicable provisions of the Agreement. In particular, the dispute resolution and arbitration provisions of the Agreement apply to disputes under these STEL Acquirer Terms by, with, or against STEL in the same manner they apply to disputes by, with, or against Stripe.
9. Waiver; Amendment
The failure of STEL to assert any of its rights under these STEL Acquirer Terms will not be deemed to constitute a waiver by STEL of its rights to enforce each and every provision of these STEL Acquirer Terms in accordance with its terms. These STEL Acquirer Terms may be amended by STEL from time to time in the same manner as the Agreement may be amended by Stripe.
Termini del Gestore STEL
I presenti Termini del Gestore STEL sono termini aggiuntivi applicabili ai Servizi di pagamento Stripe per i prodotti Visa e Mastercard per i quali Stripe Technology Europe, Ltd. ("STEL") è un Gestore di Metodi di pagamento ("Servizi di elaborazione dei pagamenti VM"). Nei presenti Termini del Gestore STEL, Visa Inc. ("Visa") e MasterCard Europe SA ("Mastercard") possono essere indicate singolarmente come "Rete" e collettivamente come "Reti", e le regole emesse da una Rete sono le "Regole della Rete". Tutti i termini utilizzati ma non definiti nei presenti Termini del Gestore STEL avranno il significato previsto dal Contratto per i Servizi Stripe ("Contratto"). I presenti Termini del Gestore STEL costituiscono un accordo legale tra l'utente e STEL, che si forma con l'offerta dei presenti termini da parte di STEL all'utente, l'accettazione degli stessi da parte dell'utente e la successiva fornitura di Servizi di elaborazione dei pagamenti VM da parte di STEL all'utente. L'utente è consapevole che Stripe o STEL possono applicare qualsiasi disposizione del Contratto che si riferisce all'uso dei Servizi di elaborazione dei pagamenti VM (e riconosce di essere direttamente obbligato a STEL ai sensi del Contratto per qualsiasi responsabilità nei confronti di STEL causata dalla violazione del Contratto). STEL può inoltre rescindere i presenti Termini del Gestore STEL in qualsiasi momento, il che potrebbe limitare o interrompere la capacità dell'utente di utilizzare i Servizi di elaborazione dei pagamenti VM. I presenti Termini del Gestore STEL incorporano, per riferimento, i termini del Contratto, ad eccezione del fatto che in ogni caso "Stripe" sarà considerato un riferimento a STEL, e l'applicazione dei termini incorporati sarà limitata alla fornitura da parte di STEL dei Servizi di elaborazione dei pagamenti VM ai sensi del Contratto.
Tutte le altre parti dei Servizi rimarranno disciplinate dal Contratto tra l'utente e Stripe Payments Europe, Ltd.
Per utilizzare i Servizi di elaborazione dei pagamenti VM forniti da STEL, l'utente deve accettare tutti i termini e le condizioni dei presenti Termini del Gestore STEL. Se l'utente non li accetta, non può utilizzare i Servizi di elaborazione dei pagamenti VM ai sensi dei presenti Termini del Gestore STEL.
Conformità e comunicazione della Rete della Carta
a. Comunicazioni importanti per i soci: STEL comunica che:
• è l'unico soggetto autorizzato ad estendere l'accettazione dei prodotti Visa e Mastercard direttamente all'utente ai sensi dei presenti Termini del Gestore STEL;
• deve essere un mandante (firmatario) dei presenti Termini del Gestore STEL;
• è responsabile di informare l'utente sulle Regole della Rete che deve rispettare, ma queste informazioni possono anche essere fornite all'utente da Stripe;
• ai sensi della Sezione 3 dei presenti Termini del Gestore STEL, in relazione alle Transazioni elaborate attraverso i Servizi di elaborazione dei pagamenti VM, è responsabile e deve fornire i fondi di regolamento all'utente (per ulteriori informazioni, si veda la Sezione 3); e
• in relazione alle Transazioni elaborate tramite i Servizi di elaborazione dei pagamenti VM, è responsabile di tutti i fondi tenuti in riserva che derivano dai fondi di regolamento prima di finanziare l'utente.
b. Le responsabilità dell’utente: In aggiunta a qualsiasi altra responsabilità stabilita nei presenti Termini del Gestore STEL, l'utente accetta che, in ogni momento per tutta la durata dei presenti Termini del Gestore STEL, si impegna a:
• rispettare gli Standard PCI nell'utilizzo e nella conservazione dei dati del Conto di pagamento;
• mantenere tassi di frode e di Controversie accettabili ai sensi delle Regole della Rete;
• esaminare e comprendere i termini dei presenti Termini del Gestore STEL; e
• rispettare le Regole della Rete e le Leggi.

1. Finalità dei presenti Termini del Gestore STEL
Quando l'utente elabora la sua prima Transazione Visa o Mastercard attraverso un particolare Gestore di Metodi di pagamento, le Regole della Rete applicabili richiedono che l'utente entri in un rapporto contrattuale diretto con il Gestore di Metodi di pagamento. I presenti Termini del Gestore STEL costituiscono il rapporto contrattuale diretto dell'utente con STEL, che è un membro della Rete e un Gestore di Metodi di pagamento per le Transazioni Visa e Mastercard. In conformità ai requisiti delle Regole della Rete, i presenti Termini del Gestore STEL sono offerti ed efficaci, e il rapporto contrattuale diretto dell'utente con STEL è stabilito così come previsto nei paragrafi introduttivi di cui sopra.
2. Conformità alle Regole della Rete
Quando l'utente utilizza i Servizi di elaborazione dei pagamenti VM per accettare addebiti da Carte di pagamento VM, deve rispettare le Regole della Rete e le limitazioni d'uso indicate nel Contratto, comprese le linee guida, i programmi di monitoraggio e la segnalazione delle attività (inclusi accrediti, contestazioni o depositi eccessivi). In base alle Regole della Rete, alcune attività possono essere soggette a riaddebiti, tariffe, multe, ritardi di regolamento, trattenute, verifiche dell'attività di elaborazione dell'utente, o la risoluzione dei presenti Termini del Gestore STEL e del Contratto.
Senza limitare quanto sopra, l'utente accetta specificamente di:
i. Presentare solo Transazioni autorizzate dal titolare della carta;
ii. Accettare pagamenti solo per la vendita di prodotti o servizi e per la ricezione di donazioni in buona fede, e non per qualsiasi Attività Commerciale soggetta a restrizione, a meno che non abbia ricevuto un'approvazione scritta da Stripe;
iii. Inviare una Transazione per l'intero importo dovuto dal Cliente per la Transazione, tranne nel caso in cui l'utente e il Cliente si accordino per una spedizione parziale (ad esempio per ricevere una parte di un ordine), o nel caso in cui la Transazione si qualifichi per una consegna ritardata o per depositi su ordini speciali (ad esempio per il pagamento di un deposito su un prodotto costruito su misura);
iv. Non stabilire importi minimi o massimi (ad eccezione di quanto consentito dalle Regole della Rete), né condizionare le spese per l'uso delle carte di pagamento VM, e non scoraggiare l'uso di una marca di Carta di pagamento VM rispetto a un'altra;
v. Non imporre supplementi o tasse (tranne nei casi consentiti dalla Legge e dalle Regole della Rete) e, in tal caso, riscuotere tali importi solo come parte dell'addebito presentato;
vi. Utilizzare i loghi o i marchi delle Reti solo nei modi consentiti dalle Regole della Rete;
vii. Non presentare una Transazione che rappresenti l'incasso di un assegno disconosciuto;
viii. Vietare l'uso di carte di pagamento per l'erogazione di denaro contante (salvo quanto consentito dalle Regole della Rete e approvato da Stripe);
ix. Rispettare gli obblighi di sicurezza identificati nel Contratto, compresa la conformità agli Standard PCI e utilizzare i dati dei titolari della carta solo come consentito, e certificare tale conformità su richiesta, e non consentire o promuovere l'uso fraudolento delle carte di pagamento VM o dei dati dei titolari della carta;
x. Chiarire ai Clienti che stanno effettuando una transazione con l'utente prima, durante e dopo la Transazione, fornendo anche chiari descrittori delle dichiarazioni;
xi. Utilizzare tutti i metodi ragionevoli per risolvere le controversie con i clienti dell'utente, comprese quelle che sfociano in una Controversia, e non tentare di rimborsare un Cliente per una Transazione che è stata precedentemente addebitata e successivamente restituita all'utente, a meno che il pagamento non sia espressamente autorizzata dal Cliente; e
xii. Fornire un linguaggio chiaro per i rimborsi e i cambi che sia coerente con le Leggi e con le Regole della Rete.
3. Autorizzazione alla gestione dei fondi
L'utente autorizza STEL, in qualità di agente designato, ad avviare trattenute, incassi ed esborsi dei fondi che riceve (per conto dell'utente) dalle Reti per il regolamento delle Carte di pagamento VM ("Fondi di liquidazione"). L'utente autorizza inoltre Stripe a dare istruzioni a STEL, per conto dell'utente in qualità di agente, su come e quando devono essere effettuati gli esborsi dei Fondi di liquidazione. Gli obblighi di STEL di liquidare i Fondi all'utente sono soddisfatti con il trasferimento dei Fondi di liquidazione all'utente su sua esplicita richiesta e autorizzazione in qualità di agente. I Fondi di liquidazione saranno conservati in conti commerciali comuni in attesa dell'erogazione dei Fondi all'utente (o a qualsiasi destinatario applicabile a cui l'utente ha dato istruzioni a Stripe di effettuare un'erogazione per suo conto) in conformità con i termini del Contratto, comprese le presenti Condizioni del gestore STEL. L'utente accetta di non avere diritto ad alcun interesse o altro compenso associato ai Fondi di liquidazione, di non avere il diritto di ordinare a STEL di distribuire i Fondi di liquidazione e di non poter cedere alcun interesse nei Fondi di liquidazione detenuti da STEL. STEL può periodicamente mettere a disposizione dell'utente informazioni tramite Stripe riguardanti la liquidazione anticipata dei fondi da parte delle Reti. Queste informazioni sulla liquidazione non costituiscono (o danno origine a) un deposito o un altro obbligo dovuto da Stripe o STEL all'utente. Tutte le informazioni sulla liquidazione che vengono comunicate all'utente sono solo a scopo informativo e di rendicontazione. L'utente non ha il diritto di accedere ai Fondi di liquidazione e non ha alcun diritto di proprietà o di altro tipo prima che tali fondi siano accreditati sul Conto bancario dell'utente (o al conto di qualsiasi destinatario applicabile a cui l'utente ha dato istruzioni a Stripe di effettuare una distribuzione per suo conto). Tutte le autorizzazioni stabilite nei presenti Termini del Gestore STEL rimarranno in vigore fino alla chiusura o alla cessazione dell'account Stripe dell'utente.
4. Condivisione dei dati
a. L'utente autorizza Stripe e STEL a fornirsi reciprocamente qualsiasi Dato protetto, nonché alle Reti, alle agenzie di controllo delle frodi e dell'antiriciclaggio e ad altri enti governativi pertinenti per (i) fornire i Servizi di elaborazione dei pagamenti VM, (ii) per ottemperare agli obblighi legali e normativi, e (iii) per effettuare la sottoscrizione e l'esame del rischio, compresa la verifica che l'utente sia legalmente autorizzato a effettuare transazioni e a ricevere fondi. Ove richiesto per adempiere agli obblighi previsti dalle Leggi o dalle Regole della Rete, STEL può fornire qualsiasi dato alle forze dell'ordine, alle Reti o alle Autorità governative. La presente autorizzazione viene fornita in conformità al Regolamento generale sulla protezione dei dati (GDPR) (Regolamento (UE) 2016/679).
b. L'utente accetta di non (i) utilizzare i Dettagli dell'Account di pagamento per scopi diversi dal supporto dei Servizi di elaborazione dei pagamenti di VM, (ii) utilizzare i Dettagli dell'Account di pagamento per scopi che sa o dovrebbe sapere essere fraudolenti o in violazione delle Regole della Rete, (iii) vendere, acquistare, fornire o scambiare in qualsiasi modo o divulgare i Dati del Conto di pagamento a chiunque non sia STEL o le Reti (a seconda dei casi), o in risposta a una richiesta governativa. Inoltre, l'utente accetta di rispettare in ogni momento gli standard PCI per quanto riguarda i Dettagli del Conto di pagamento e di compensare e tenere STEL indenne da qualsiasi violazione o infrazione degli Standard PCI, comprese, ma non solo, le multe, le tariffe o le valutazioni da parte di qualsiasi Rete imposte all'utente, a STEL o a Stripe.
c. L'Informativa sulla privacy di Stripe spiega come e per quali scopi Stripe raccoglie, utilizza, conserva, divulga e salvaguarda i Dati personali che l'utente fornisce a Stripe. L'utente accetta di rivedere i termini dell'Informativa sulla privacy, che Stripe aggiorna di tanto in tanto.
5. Termine e risoluzione
I presenti Termini del Gestore STEL entreranno in vigore come descritto nei paragrafi introduttivi e rimarranno in vigore finché l'utente utilizzerà i Servizi di elaborazione dei pagamenti VM. I presenti Termini del Gestore STEL si risolveranno automaticamente con la risoluzione del Contratto, ad eccezione di quei Termini che sono destinati a sopravvivere alla risoluzione. Inoltre, i Servizi di elaborazione dei pagamenti VM e i presenti Termini del Gestore STEL possono essere risolti in qualsiasi momento da STEL, come previsto nei paragrafi introduttivi.
6. Dichiarazioni e garanzie
Oltre alle dichiarazioni e garanzie contenute nel Contratto, l'utente dichiara alla Data di efficacia e garantisce a STEL, durante la durata dei Servizi di elaborazione dei pagamenti VM, che: (a) l'utente è legalmente in grado di sottoscrivere i presenti Termini del Gestore STEL, (b) l'utente non utilizzerà i Servizi di elaborazione dei pagamenti di VM, direttamente o indirettamente, per qualsiasi impresa fraudolenta o illegale; e (c) l'utente utilizzerà i Servizi di elaborazione dei pagamenti di VM solo in modo coerente con il Contratto, compresi i presenti Termini del Gestore STEL, la Documentazione e le Regole della Rete.
7. Restrizioni sull’uso
L'utente non può utilizzare i Servizi di elaborazione dei pagamenti VM da, o per conto di, persone o entità (a) in un paese sottoposto a embargo da parte del Regno Unito o di uno stato membro dello Spazio economico europeo o (b) bloccati o negati dal Regno Unito o da qualsiasi Stato membro dello Spazio economico europeo. L'utente riconosce e accetta inoltre di non utilizzare il proprio Account Stripe e/o i Servizi di elaborazione dei pagamenti VM per transazioni illegali o in relazione ad attività illegali di qualsiasi tipo. Salvo diversa esplicita indicazione, i Servizi sono destinati esclusivamente all'uso da parte di individui, società o altre entità situate (secondo la definizione della legge applicabile e delle Regole della Rete) nello Spazio economico europeo.
Nonostante qualsiasi disposizione contraria contenuta nei presenti Termini del Gestore STEL, STEL può rifiutare di elaborare qualsiasi Transazione presentata dall'utente a sua esclusiva discrezione, ad esempio; se la Transazione in questione supera la tolleranza al rischio di STEL tenendo conto di tutti i fattori rilevanti, compresi (i) i requisiti legali e normativi di STEL, (ii) le partnership commerciali, (iii) i fattori operativi, o se la Transazione in questione è associata a un'Attività Commerciale soggetta a restrizione o violerebbe altrimenti i termini del Contratto.
8. Risoluzione delle controversie
Tutte le controversie previste dai presenti Termini del Gestore STEL sono soggette alle disposizioni applicabili del Contratto. In particolare, le disposizioni in materia di risoluzione delle controversie e di arbitrato del Contratto si applicano alle controversie ai sensi dei presenti Termini del Gestore STEL da, con o contro STEL nello stesso modo in cui si applicano alle controversie da, con o contro Stripe.
9. Rinuncia; Modifica
La mancata rivendicazione da parte di STEL di uno qualsiasi dei suoi diritti ai sensi dei presenti Termini del Gestore STEL non sarà considerata come una rinuncia da parte di STEL ai suoi diritti di far valere ogni singola disposizione dei presenti Termini del Gestore STEL in conformità con i suoi termini. I presenti Termini del Gestore STEL possono essere modificati da STEL di volta in volta nello stesso modo in cui il Contratto può essere modificato da Stripe.
