1. Stripe Embedded Finance Suite Treasury for Platforms Services.
1.1 Operation of These Terms.
These terms (“Stripe Embedded Finance Suite Treasury for Platforms Terms” or “Stripe EFS Treasury for Platforms Terms”) are Service Terms for purposes of the Agreement, and govern User's ability to offer the Stripe EFS Treasury for Platforms Services to its Connected Accounts.
1.2 Amendment and Incorporation.
These Stripe EFS Treasury for Platforms Terms incorporate the Stripe Treasury for Platforms - Platform Terms in full by this reference, as amended by Section 3 (Modifications). All references to Stripe Treasury for Platforms Services in the Stripe Treasury for Platforms - Platform Terms are also references to Stripe EFS Treasury for Platform Services.
1.3 Order of Precedence.
If any term in these Stripe EFS Treasury for Platforms Terms conflicts with a term or terms incorporated by reference into these Stripe EFS Treasury for Platforms Terms, then unless terms of lower precedence expressly state to the contrary, the order of precedence is: (a) these Stripe EFS Treasury for Platforms Terms; (b) the Stripe Treasury for Platforms - Platform Terms; (c) the Stripe Connect Infrastructure Terms; (d) the Stripe Connect Terms; (e) the Stripe Financial Services Terms; and (f) the General Terms.
2. Preview Services; Stripe Rights.
The Stripe EFS Treasury for Platforms Services are Preview Services. Stripe reserves the right to apply or change Fees, including applicable Taxes, for the Stripe EFS Treasury for Platforms Services, subject to any notice period required by Law. User’s continued use or offering of the Stripe EFS Treasury for Platforms Services after the Fees become effective constitutes User’s acceptance of the Fees. Stripe reserves the right to update the terms related to the Stripe EFS Treasury for Platforms Services, and will notify User as Law requires.
3. Modifications.
3.1 Introduction.
Section 1 of the Stripe Treasury for Platforms - Platform Terms (Stripe Treasury for Platforms Services) is deleted and replaced with the following:
These terms (“Stripe Embedded Finance Suite Treasury for Platforms Terms” or “Stripe EFS Treasury for Platforms Terms”) supplement the General Terms, the Stripe Financial Services Terms, the Stripe Connect Terms, and the Stripe Connect Infrastructure Terms, and govern User’s ability to offer the Stripe EFS Treasury for Platforms Services to its Connected Accounts. These Stripe EFS Treasury for Platforms Terms do not apply to User’s use of the Stripe EFS Treasury for Platforms Services for User’s own business purposes. If User wishes to use the Stripe EFS Treasury for Platforms Services for those purposes, then the Stripe Treasury for Platforms Accountholder Terms will apply to User as a Stripe Treasury for Platforms Accountholder, except that references to “Stripe Connect Platform” in those terms are also references to User. Capitalized terms that are not defined in these Stripe EFS Treasury for Platforms Terms have the same meanings given to them in the General Terms, the Stripe Financial Services Terms, the Stripe Connect Terms, and the Stripe Connect Infrastructure Terms. |
3.2 General Responsibility.
Section 3.1 of the Stripe Treasury for Platforms - Platform Terms (General Responsibility) is deleted and replaced with the following:

If User onboards Connected Accounts using User-Hosted Onboarding, User must ensure that each Connected Account that wishes to access the Stripe Treasury for Platforms Services successfully completes the onboarding requirements described in Section 3.3 (Information and Consent). |
3.3 Information and Consent.
The first line of Section 3.3 of the Stripe Treasury for Platforms - Platform Terms (Information and Consent) is deleted and replaced with the following:
If User onboards Connected Accounts using User-Hosted Onboarding, User must: |
3.4 Stripe-Hosted Onboarding.
A new Section 3.4 of the Stripe Treasury for Platforms - Platform Terms is inserted to read as follows:
3.4 Stripe-Hosted Onboarding. If Stripe hosts the onboarding process, User must integrate with the applicable Stripe API according to the Documentation and these Stripe EFS Treasury for Platforms Terms and through User’s implementation of the EFS Embedded Components must: (a) enable each Connected Account to submit all Stripe Treasury for Platforms Account Information that Stripe, its Affiliates and the applicable Treasury for Platforms Bank request to verify and screen the Connected Account’s eligibility to access the Stripe Treasury for Platforms Services and confirm that the Connected Account is not engaging in a Prohibited or Restricted Business; (b) enable each Connected Account that intends to onboard as a Stripe Treasury for Platforms Accountholder to agree to the Stripe Treasury for Platforms Accountholder Terms and the Connected Account Agreement before accessing the Stripe Treasury for Platforms Services. If Stripe believes that User’s existing acceptance process does not create a binding agreement between Stripe and the Connected Account, then, upon Stripe’s request, User must modify that process as Stripe requires; (c) notify each Connected Account if Stripe approves its access to the Stripe Treasury for Platforms Services, and promptly notify a Connected Account that becomes a Stripe Treasury for Platforms Accountholder if Stripe suspends or terminates its access to the Stripe Treasury for Platforms Services; and (d) notify Stripe Treasury for Platforms Accountholders of all changes to the Stripe Treasury for Platforms Accountholder Terms and ensure that those Stripe Treasury for Platforms Accountholders agree to them. If any Stripe Treasury for Platforms Accountholder does not agree to the modified Stripe Treasury for Platforms Accountholder Terms, then User must immediately stop making the Stripe Treasury for Platforms Services available to that Stripe Treasury for Platforms Accountholder. |
3.5 Responsibility for Activity.
Section 4.2 of the Stripe Treasury for Platforms - Platform Terms (Responsibility for Activity) is deleted and replaced with the following:
4.2 Responsibility for Activity. User is responsible and liable to Stripe for all Activity on Connected Accounts in connection with the Stripe Treasury for Platforms Services, whether initiated by User or not, including all Financial Account Transactions, associated fines, and any use of the Stripe Treasury for Platforms Services in a manner prohibited under these Stripe EFS Treasury for Platforms Terms, the Stripe Treasury for Platforms Accountholder Terms, or the Connected Account Agreement (except with respect to SMR Connected Accounts to the extent stated in Section 3.2 of the Stripe Connect Terms (Liability for SMR Connected Accounts)). User and the relevant Connected Account are jointly and severally liable to Stripe for amounts the Connected Account owes to Stripe, and Stripe may collect these amounts from User in accordance with this Agreement (except with respect to SMR Connected Accounts to the extent stated in Section 3.2 of the Stripe Connect Terms (Liability for SMR Connected Accounts)). If Stripe determines that User’s responsibility for Activity on Connected Accounts creates an unacceptable risk to Stripe, Stripe may exercise its remedies listed in Section 8.2 (Stripe Remedies) of these Stripe EFS Treasury for Platforms Terms. |
3.6 Indemnification.
Section 7 of the Stripe Treasury for Platforms - Platform Terms (Indemnification) is deleted and replaced with the following:
7. Indemnification. User will defend the Stripe Parties from and against any Claim, and indemnify the Stripe Parties against all Stripe Losses, to the extent arising out of or relating to (a) inaccurate or incomplete information provided (including through the Stripe Treasury for Platforms Dashboard) to a Stripe Entity or the applicable Treasury for Platforms Bank by or on behalf of User or any Stripe Treasury for Platforms Accountholder; (b) a Stripe Treasury for Platforms Accountholder’s breach of the Stripe Treasury for Platforms Accountholder Terms; or (c) a negative balance or financial loss or damage caused by User or a Stripe Treasury for Platforms Accountholder (except with respect to SMR Connected Accounts to the extent stated in Section 3.2 of the Stripe Connect Terms (Liability for SMR Connected Accounts)). User authorizes Stripe to debit each User Bank Account or Stripe Account, at Stripe’s discretion, to cure any negative balance of a Stripe Treasury for Platforms Accountholder. |
3.7 Triggering Event.
Section 8.1(a) of the Stripe Treasury for Platforms - Platform Terms (Triggering Event) is deleted and replaced with the following:
(a) has a negative Financial Account balance (except with respect to SMR Connected Accounts to the extent stated in Section 3.2 of the Stripe Connect Terms (Liability for SMR Connected Accounts)); |
3.8 Stripe Remedies.
Section 8.2(b) of the Stripe Treasury for Platforms - Platform Terms (Stripe Remedies) is deleted and replaced with the following:
(b) debit each User Bank Account, Financial Account, or Stripe Account to cure any negative balance of a Stripe Treasury for Platforms Accountholder (except with respect to SMR Connected Accounts to the extent stated in Section 3.2 of the Stripe Connect Terms (Liability for SMR Connected Accounts)); |
3.9 Fraudulent Transactions.
Section 9 of the Stripe Treasury for Platforms - Platform Terms (Fraudulent Transactions) is deleted and replaced with the following:
9. Fraudulent Transactions. As between the parties, User is responsible for all: (a) losses, damages, and costs Stripe and its Affiliates incur due to fraudulent Financial Account Transactions (except with respect to SMR Connected Accounts to the extent stated in Section 3.2 of the Stripe Connect Terms (Liability for SMR Connected Accounts)), and the limitations on liability in Section 8.3 and 8.4 of the General Terms (Limitation on Indirect Liability; Liability Cap) do not apply; and (b) costs associated with any Financial Provider-initiated audit or forensic investigation arising out of or relating to User’s offering of the Stripe EFS Treasury for Platforms Services. |
4. Definitions.
“Agreement” means the Stripe Services Agreement between Stripe and User located at stripe.com/legal or as otherwise agreed by the parties.
“EFS Embedded Component” means the embedded components, as described in the Documentation.
“Stripe Embedded Finance Suite Treasury for Platforms Services” or “Stripe EFS Treasury for Platforms Services” means the Stripe Treasury for Platforms Services, the EFS Embedded Components, and the other Embedded Finance Suite features as further described in the Documentation.
“Stripe Treasury for Platforms - Platform Terms” means the Service Terms that apply to User’s offering of the Stripe Treasury for Platforms Services located at or accessible from the Stripe Legal Page.
