This US Public Sector Addendum (this "Addendum") modifies the Stripe Services Agreement (“Agreement”) between Stripe, Inc. (“Stripe”) and you or the entity you represent (“User”). It applies to User if User is a US federal, state, or local governmental user (a “Public Sector User”). All capitalized terms that are not defined in this Addendum will have the meaning given to them in the Agreement. With effect from the Effective Date, this Addendum supplements the terms and conditions of the Agreement as follows, solely with respect to User’s use of the Services as a Public Sector User and only to address statutory laws, regulations, and policies that may conflict with certain terms of the Agreement.
1. Applicability.
This Addendum applies if and only to the extent User is a Public Sector User.
2. Modifications to the Agreement.
This Addendum modifies the terms and conditions of the Agreement as follows, solely with respect to User’s use of the Services as a Public Sector User:
2.1 Preamble.
The preamble to the General Terms of the Agreement is replaced with the following:
The Stripe Services Agreement (the “Agreement”) is an agreement between you or the entity you represent (“User”) and the applicable Stripe entity specified in Section 12 (Definitions) (“Stripe”) and governs User’s access to and use of the Services and Stripe Technology. If User is a US federal, state, or local government entity, "User" refers to the specific US federal, state, or local government department, agency, office, or political subdivision identified in the Stripe Account registration. The Agreement consists of the General Terms (which apply to all Services and Stripe Technology), all Service Terms that apply to User’s use of specific Services and Stripe Technology, and any other terms incorporated into the Agreement. The Regional Terms located in Section 13 (Regional Terms) of the General Terms apply based on User’s Stripe Account Country.
This Agreement is effective when User first accesses or uses the Services or Stripe Technology (the “Effective Date”) and continues until User or Stripe terminates it (the “Term”).
If you are accepting this Agreement on behalf of User, you represent and warrant that you have the requisite legal authority, whether by statute, regulation, or proper delegation, to bind that government entity to this Agreement. You understand that this Agreement is binding upon the government entity only to the extent consistent with applicable federal, state, or local law concerning government contracts, including laws restricting commitments of funds beyond current appropriations. User represents as of the Effective Date, and warrants at all times during the Term, that User is a US federal, state, and local government entity or agency and are eligible to apply for a Stripe account and use the Services.
Capitalized terms used in this Agreement that are not defined inline are defined in Section 12 (Definitions).
2.2 Services.
Section 1.1 of the General Terms of the Agreement (Services) is replaced with the following:
1.1 Services.
Stripe (and its Affiliates, as applicable) will make the Services available to User, and if applicable, give User access to a Stripe Dashboard. Stripe may enable certain Services or features on User’s behalf which User may disable by contacting Stripe, or, where available, opting out within the Stripe Dashboard or API. User must use the Services solely for User’s Business Purposes and in compliance with the Documentation. The Services are commercial in nature and available in the open marketplace. For US federal Public Sector Users, the Services are “commercial computer software” as defined at 48 C.F.R. §§ 2.101 and 252.227-7014(a)(1) and as the term is used in 48 C.F.R. §§ 12.212 and 227.7202; the related Support and Advisory Services are “commercial services” as defined in 48 C.F.R. § 2.101; and the Documentation is commercial “computer software documentation” as defined in 48 C.F.R. §§ 2.101 and 252.227-7014(a)(5) and as used in 48 C.F.R. §§ 12.212 and 227.7202. The Services are provided to all Public Sector Users, for use by the Public Sector User or on its behalf, subject to the terms of this Agreement, and all sales to US federal Government Public Sector Users must be consistent with 48 C.F.R. §§12.212, 227.7202, and 252.227-7015, as applicable. The Services and Documentation are licensed to the Government with only those rights as granted to all other Customers and users, according to the terms and conditions contained in the Agreement.
2.3 Data Breach Notification.
Section 4.3 of the General Terms of the Agreement (Data Breach Notification) is replaced with the following:

Each party must notify the other party as soon as reasonably practicable if it becomes aware of any unauthorized acquisition, modification, disclosure, access to, or loss of Personal Data on its systems that was provided to or used by the other party in connection with the Services.
2.4 Feedback.
Section 5.2 of the General Terms of the Agreement (Feedback) is replaced with the following:

During the Term, User may provide Feedback to Stripe and its Affiliates, which Stripe may use without restriction or obligation. Except as indicated in Section 1.4, Feedback is voluntary.
2.5 Marks Usage.
Section 5.3 of the General Terms of the Agreement (Marks Usage) is replaced with the following:

(a) Subject to this Agreement, Stripe (or its applicable Affiliates) grants to User a worldwide, non-exclusive, non-transferable (except as allowed under Section 11.10 (Assignment)), non-sublicensable, royalty-free license during the Term to use the Stripe Marks solely to identify Stripe as User’s service provider. All goodwill generated from the use of Stripe Marks will inure to the sole benefit of Stripe. When using Stripe’s Marks, User must comply with the terms located at https://stripe.com/legal/marks/ and all additional usage terms and guidelines that Stripe provides to User in writing (if any).
(b) Stripe may not use User’s Marks without User’s prior written consent.
2.6 Indemnities.
Section 9.1 of the General Terms of the Agreement (Indemnities) is modified by adding the following section:
(c) Public Sector User Limitation. The obligations under this Section 9.1 are limited to the extent permitted by federal, state, or local law applicable to User (including, for federal agencies, the Anti-Deficiency Act, 31 U.S.C. § 1341, and sovereign immunity principles), and are subject to the availability of appropriated funds. User shall not be obligated to indemnify Stripe for claims arising from Stripe’s gross negligence, willful misconduct, or failure to comply with applicable Laws.
2.7 Governing Law.
Section 11.3 of the General Terms of the Agreement (Governing Law) is replaced with the following:
11.3 Governing Law and Venue.
(a) For US Federal Agencies: The Agreement shall be governed by the federal laws of the United States. Any action arising under or relating to the Agreement shall be brought in the appropriate US federal court.
(b) For US State or Local Agencies: The Agreement shall be governed by the laws of the State in which User is legally organized, without regard to its conflicts of law principles. Venue for any dispute shall be exclusively in the state or federal courts with jurisdiction over User in that State.
(c) Notwithstanding anything to the contrary in the Agreement, the United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to the Agreement.
2.8 Dispute Resolution; Agreement to Arbitrate.
Section 11.4 of the General Terms of the Agreement (Dispute Resolution; Agreement to Arbitrate) is deleted and replaced with the following:

2.9 User Information.
Section 2.2 of the Stripe Financial Services Terms (User Information) is replaced with the following:
2.2 User Information.
To access the Services, User will promptly provide Stripe with its official agency information as reasonably requested by Stripe. User must keep its Stripe Account information current and immediately notify Stripe, and provide updated information, if (a) User experiences a significant organizational change or reorganization; or (b) a Governmental Authority has notified User that it is the subject of an investigative or audit action directly related to its use of the Services.
2.10 Information Stripe Obtains.
Section 2.3 of the Stripe Financial Services Terms (Information Stripe Obtains) is replaced with the following:

Stripe is authorized to obtain information about User from publicly available sources and from third parties to the extent legally permissible for User to provide such authorization, solely for the purposes of this Agreement and in connection with User’s official government activities. User will cooperate to provide information reasonably necessary for Stripe to perform its obligations under this Agreement, to the extent legally permissible for User to disclose.
3. Order of Precedence.
If there is any conflict or inconsistency between this Addendum and the Agreement, then except as expressly provided in this Addendum, this Addendum will prevail to the extent of the conflict or inconsistency. Except as amended by this Addendum, all terms of the Agreement remain in full force and effect.
