Thank you for sharing your time to develop your business, help build the Stripe Community, and improve the products and services of Stripe and its Affiliates (together, "Stripe"). Please carefully read the terms in this agreement ("Agreement") as they govern your participation and contain important information about your legal rights, remedies and obligations.
By serving as a volunteer Community Builder, participating in workshops or research, or by providing Feedback, you agree to comply with and be bound by this Agreement, our Community Engagement Guidelines, and our Privacy Policy, each of which is incorporated herein by reference.
These Terms govern your participation as a Stripe Community Builder only and do not modify or supersede any other agreement you may have with Stripe, including the Stripe Services Agreement.

The following capitalized terms have the meanings set out below. Other capitalized terms are defined where they first appear in this Agreement.
"Affiliate" means an entity that directly or indirectly Controls, is Controlled by, or is under common Control with another entity.
"Claim" means any claim, demand, government investigation, or legal proceeding made or brought by a third party.
"Community Builder" means a volunteer who has agreed to this Agreement and participates in the Program.
"Confidential Information" means all non-public information or material disclosed by one party (the "Disclosing Party") to the other (the "Receiving Party"), whether in oral or written form, that (i) relates to the Disclosing Party's past, present, or future research, development, business activities, trade secrets, products, services, or technology; or (ii) has been identified, orally or in writing, as confidential, or would be understood to be confidential by a reasonable person under the circumstances. The Portal and its contents are Stripe's Confidential Information.
"Control" means direct or indirect ownership of more than 50% of the voting power or equity in an entity.
"Features" means the tools, software, or information that Stripe makes available to facilitate your participation in the Program.
"Feedback" means comments, ideas, suggestions, submissions, or other input you provide to Stripe regarding the Program, Stripe's products and services, or any other matter in connection with your participation under this Agreement.
"Force Majeure Event" means an event beyond the reasonable control of the affected party, including a strike or other labor dispute; labor shortage, stoppage or slowdown; supply chain disruption; embargo or blockade; telecommunication breakdown; power outage or shortage; inadequate transportation service; inability or delay in obtaining adequate supplies; weather; earthquake; fire; flood; act of God; riot; civil disorder; civil or government calamity; epidemic; pandemic; state or national health crisis; war; invasion; hostility (whether war is declared or not); terrorism threat or act; Law; or act of a Governmental Authority.
"Governmental Authority" means a regulator or other governmental agency or entity with jurisdiction over either party or this Agreement.
"IP Rights" means all copyrights, patents, trademarks, service marks, trade secrets, mask work rights, moral rights, and other intellectual property rights.
"Law" means all applicable laws, rules, regulations, and other binding requirements of any Governmental Authority.
"Mark" means a trademark, service mark, design mark, logo, or stylized script.
"Materials" means any written, visual, digital, or other content provided by either party in connection with this Agreement, including marketing materials, event presentations, and educational resources.
"Moral Rights" means any right to claim authorship of a work, any right to object to any modification, distortion, or mutilation of a work, and any similar rights recognized under applicable Law.
"Personal Data" means any information relating to an identified or identifiable natural person, including "personal data" as defined under the General Data Protection Regulation (EU) 2016/679 ("GDPR"), "personal information" as defined under the California Consumer Privacy Act ("CCPA"), and equivalent definitions under other applicable data protection Laws.
"Portal" means Stripe's online community portal, including any web-based tools, content, communication channels, and resources that Stripe makes available to Community Builders in connection with the Program.
"Program" means the Stripe Community Builders program described in this Agreement, including all related activities, events, workshops, research sessions, and online community spaces.
a. Your participation is purely voluntary. Either you or Stripe can terminate this Agreement at any time upon written notice.
b. By participating in the Community Builders program, you may host or participate in events (virtual or in-person) for the Stripe community where there may be photographs or recordings of your participation.
c. As a Community Builder, you regularly engage with your community online by posting and replying in your official local community. Stripe will share optional post ideas that you're welcome to personalize.
d. To help build connection, we encourage you to host regular meetups online or in person. Stripe may provide optional support for your events including tips for planning, ways to drive attendance and engagement, and discussion topics.
e. If your community has more than one Community Builder, we expect all Builders to work together with inclusion and respect. You are encouraged to collaborate with your fellow Builders to handle community-related challenges together.
f. To help you succeed in leading a local community, we recommend regular check-ins (e.g. email, office hours, slack meetings) with the Stripe team. It's a great way to review the latest resources, refresh your understanding of the role, explore rewards and recognition, and get answers to any questions.
g. To the extent that Stripe makes any Features available to facilitate your participation in the Program, you agree that you will use these Features for this purpose only, that your use of the Features cannot be for private commercial benefit, and that your use of the Features may be subject to additional limitations by Stripe.
h. If you participate in any workshops, research sessions, or other Feedback sessions with Stripe via audio, video, still image or other method, you agree not to record or make copies of any materials unless directed to do so by Stripe in writing.
i. You agree to adhere to these principles in your participation under this agreement: you agree that you will be respectful of your community members, your Co-Builders (if any), Stripe employees, and your community; you agree that you will not discriminate against any person on the basis of race, color, ethnicity, national origin, religion, sexual orientation, gender identity, family status, marital status, disability or age, or take any action, or make any statement exhibiting discrimination on those bases; and you agree to comply with Stripe's Non-Discrimination Policy. Any such discrimination, act or statement by you, or failure to adhere to these principles, will be grounds for Stripe to terminate this agreement immediately upon written notice to you. In such a case, Stripe reserves any other rights against you at law or otherwise.
a. Each party and its Affiliates ("Receiving Party") must protect the Confidential Information disclosed by the other party or its Affiliate ("Disclosing Party") using the same degree of care that the Receiving Party uses to protect the confidentiality of its own confidential information (but not less than reasonable care). The Receiving Party must (i) not use the Disclosing Party's Confidential Information for any purpose outside the scope of this Agreement; and (ii) except as the Disclosing Party otherwise authorizes in writing, limit access to the Disclosing Party's Confidential Information to the Receiving Party's employees, agents and contractors who need that access for purposes consistent with this Agreement and who have signed confidentiality agreements with the Receiving Party containing protections not materially less protective than those in this Agreement. If the Receiving Party is required by Law or court order to disclose Confidential Information, then the Receiving Party must, to the extent legally permitted, provide the Disclosing Party with advance written notice and cooperate in any effort to obtain confidential treatment of the Confidential Information. The Receiving Party acknowledges that disclosure of Confidential Information may cause substantial harm for which damages alone may not be a sufficient remedy, and the Disclosing Party would be entitled to seek appropriate equitable relief in addition to whatever other remedies it might have at law.
b. Exclusions. The restrictions and obligations in this Section 3 will not apply with respect to any information that the Receiving Party documents (i) is, through no improper action or inaction by the Receiving Party or its Affiliate, agent, consultant, or employee, generally available to the public; (ii) was in its possession or known by it without restriction prior to receipt from the Disclosing Party; (iii) was rightfully disclosed to it by a third party without breach of any obligation of confidentiality; or (iv) was independently developed by the Receiving Party's employees who have had no access to the information.
a. Stripe may ask you to provide Feedback. You are not required to provide Feedback but if you do, it must only be from you or on behalf of your community. You must not share any confidential information or post or provide any content that belongs to any person other than yourself or that contains the name, voice, or likeness of any person other than yourself unless you first obtain permission to do so.
b. Should you choose to provide Feedback, and to the extent that any assignment under Section 4(c) is unenforceable under applicable Law, you grant to Stripe (by itself or with others) a non-exclusive, irrevocable, fully-transferable, royalty-free, fully-paid, worldwide license (with the right to sublicense) to use, reproduce, prepare derivatives of, distribute, publicly perform, publicly display, make, communicate, make available to the public, import, modify, adapt, publish, create derivative works from, and otherwise exploit, either in whole or in part, with or without attribution, your Feedback for any commercial, advertising, or other business purpose, worldwide, and in any medium, whether such is known now or is devised later.
c. Stripe owns, and you hereby transfer and assign to Stripe, all rights to any Feedback you choose to provide, including all IP Rights (including any patent rights, copyright rights, database rights, trademark rights, mask work rights, trade secret rights, know-how, right of publicity, and any and all other intellectual or industrial property rights). At Stripe's request and expense, you agree to, at any time, execute any documents reasonably required to ensure Stripe's ownership of any IP Rights in the Feedback.
d. To the fullest extent permitted by applicable Law, you hereby irrevocably and absolutely waive and agree never to assert any and all Moral Rights that you may have in or with respect to any existing and future IP related to your Feedback. Stripe is not obligated to use Feedback you provide in any way described in this Agreement, nor to make any actual use of, or reference to, any Feedback. As far as the Law permits, you agree to waive and to not assert any rights to be identified as an author, to object to any modification, or to control the publication of any part of the Feedback you provide.
e. In no event will Stripe be precluded from discussing, reviewing, developing for itself, having developed, or developing for third parties, materials which are competitive with those set forth in any Feedback you provide under this Agreement, irrespective of their similarity to the information in the Feedback.
f. Stripe will retain title, ownership and all rights to its features, products, information or services. You shall not use or reproduce, in any manner whatsoever, any Stripe Marks without the prior written consent of Stripe.
If you publish or post a status, blog, video, photo, or other message online or through your social media accounts, or you re-share a message online or through your social media accounts about Stripe or its products or services that viewers are likely to believe reflects your personal opinion or experience—you may be required to disclose your relationship with Stripe. You understand and acknowledge that you are responsible for your own compliance under applicable marketing and telecommunications laws. The disclosure should clearly state your relationship with Stripe (e.g., "Community Builder Volunteer for Stripe, the opinions expressed are my own, and not Stripe's") and be placed near the claim about Stripe so a viewer can easily see the disclosure. At a minimum, you agree that a description of your Community Builder status will appear prominently in your social media (or website) bio and all social posts related to Stripe will include this disclosure.
a. You acknowledge that Feedback and your participation in the Program may include your Personal Data. Based on Stripe's legitimate interest in promoting Stripe and the Stripe platform, and to perform this Agreement, Stripe may process such Personal Data in various ways, including storing it, publishing it on Stripe's website, and publishing it in promotional materials. Your Personal Data will be handled in accordance with Stripe's Privacy Policy, available at https://stripe.com/privacy, as may be updated by Stripe from time to time.
b. EEA, UK, and Swiss Participants. If you are located in the European Economic Area, the United Kingdom, or Switzerland, the following additional terms apply:
c. California Residents. If you are a California resident, you have the right, under the CCPA, to: (i) know what Personal Data Stripe collects and how it is used; (ii) request deletion of your Personal Data; (iii) opt out of the sale of your Personal Data (Stripe does not sell your Personal Data); and (iv) non-discrimination for exercising your CCPA rights. d. For all participants, if you have questions about how Stripe processes your Personal Data, please refer to Stripe's Privacy Policy at https://stripe.com/privacy.
You hereby confirm that your volunteer service as a Community Builder does not, in any way, conflict with any other agreement, commitment, or proceeding to which you are a party. A potential or actual conflict of interest exists when commitments and obligations to Stripe or to generally accepted professional standards are likely to be compromised by your other interests or commitments, including to any employer. You agree to provide reasonable notice to Stripe of the existence of an actual or potential conflict of interest that may affect your ability to effectively serve as a Community Builder, and to recuse yourself from a particular assignment if you (or Stripe) reasonably believes in good faith that a potential or actual conflict of interest exists. You agree not to disclose to Stripe any proprietary information that you currently have obtained, or may obtain in the future, from any other individual or organization. You agree not to use any proprietary information that you currently have obtained or may obtain in the future or your status as a Community Builder to enrich yourself.
This Agreement and your participation does not create an agency, partnership or joint venture, independent contractor or employment relationship between the parties. You will not be an agent, employee or representative of Stripe. You understand that you will have no authority to enter into contracts or create obligations on behalf of Stripe. Accordingly, you acknowledge that you will not be eligible for any rights or benefits owed to employees, agents or representatives.
This Agreement is effective on the date you sign this Agreement. This Agreement shall continue until either party gives written termination notice, which shall be effective immediately. Sections 10 through 12 shall survive any termination of this Agreement.
10.1 Disclaimer. Stripe provides the Program and the Portal "AS IS". To the maximum extent permitted by Law, Stripe disclaims all warranties. Stripe is not liable for any losses arising out of unauthorized access or use of the Portal or Stripe services.
10.2 Indirect Damages. Except for damages arising out of breach of Section 3 (Confidentiality), neither party will be liable for any indirect, incidental, consequential, exemplary, or punitive damages.
10.3 Limitation of Damages. Stripe and its Affiliates' aggregate liability will not exceed $500 USD.
11.1 Indemnification by You. You will defend, indemnify, and hold harmless Stripe and its Affiliates, and the directors, officers, employees, and agents of each (collectively, "Stripe Parties"), from and against any and all losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of or related to any Claim resulting from: (a) your breach of any representation, warranty, or obligation under this Agreement; (b) your negligent acts or omissions in connection with your participation in the Program; or (c) your violation of any applicable Law in connection with the Program.
11.2 Indemnification by Stripe. Stripe will defend, indemnify, and hold harmless you from and against any and all losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of any Claim that the Marks or Materials Stripe licenses to you under this Agreement infringe or misappropriate the IP Rights of a third party, provided that such Claim does not arise from your modification of, or combination of, such Marks or Materials with third-party materials not provided by Stripe.
11.3 Process. The party seeking indemnification (the "Indemnified Party") must: (a) promptly notify the indemnifying party (the "Indemnifying Party") in writing of any Claim for which indemnification is sought, provided that failure to provide prompt notice will not relieve the Indemnifying Party of its obligations except to the extent such failure materially prejudices the Indemnifying Party's ability to defend the Claim; (b) give the Indemnifying Party sole control over the defense and settlement of the Claim, provided that the Indemnifying Party may not settle any Claim in a manner that imposes any obligation, restriction, or liability on the Indemnified Party without the Indemnified Party's prior written consent (not to be unreasonably withheld); and (c) provide the Indemnifying Party with reasonable cooperation and assistance, at the Indemnifying Party's expense, in connection with the defense and settlement of the Claim. The Indemnified Party may participate in the defense of any Claim at its own expense.
12.1 Force Majeure. Neither party will be liable for delays caused by a Force Majeure Event.
12.2 Non-Exclusivity. This Agreement is non-exclusive.
12.3 Assignment. Your rights and obligations under this Agreement are specific to you, and you cannot assign them to anyone else.
12.4 Severability. If any provision of this Agreement is held by any court of competent jurisdiction to be illegal, unenforceable, void or against public policy, the remaining provisions of this Agreement shall remain in full force and effect. The parties shall in good faith attempt to modify any invalidated provision to carry out the stated intentions in this Agreement.
12.5 Governing Law; Jurisdiction. If Community Builder is located in North America or South America (the "Americas"), then the laws of the State of California will govern this Agreement, without giving effect to its conflicts of law principles. Each party irrevocably submits to the exclusive personal jurisdiction of, and will bring all suits and actions under or in connection with this Agreement exclusively in, the courts located in San Mateo County, California, and waives all objections to that jurisdiction and venue. If Community Builder is located in Japan, then the laws of Japan will govern this Agreement, without reference to its conflict of law principles to the contrary. Each party irrevocably submits to the exclusive personal jurisdiction of, and will bring any suit or action under or in connection with this Agreement exclusively in, the courts located in Tokyo, and waives all objections to that jurisdiction and venue. If Community Builder is located outside of the Americas or Japan, then the laws of Ireland will govern this Agreement. Each party irrevocably submits to the exclusive personal jurisdiction of, and will bring all suits and actions under or in connection with this Agreement exclusively in, the courts located in Ireland, and waives all objections to that jurisdiction and venue.
12.6 Entire Agreement. This Agreement constitutes the entire Agreement and supersedes all prior or contemporaneous oral or written agreements regarding the subject matter hereof. The Agreement may be changed only in writing signed by both parties.
12.7 Modifications to This Agreement. Stripe may update this Agreement from time to time. When Stripe makes material changes to this Agreement, Stripe will provide notice via email to the Community Builder or by other means. The updated terms will take effect as of the date posted. Your continued participation as a Community Builder following the effective date of any update constitutes your acceptance of the updated Agreement. If you do not agree to the updated Agreement, you must notify us of your intention to leave the program by contacting your Community Manager or emailing stripecommunity@stripe.com.
