Stripe Issuing Commercial Card Authorized User Terms — EU & UK

Stripe Payments Europe, Limited ("Stripe") and its affiliates offer card program management services to certain Stripe users pursuant to the Program ("Program User"). These Authorized User Terms ("Terms") apply to your use of a Card that a Program User authorizes you to use on its behalf pursuant to the Program. 

Capitalized terms used in these Terms, but not defined elsewhere, have the meaning assigned to such terms in Section 1.

As used in these Terms, "we", "us" or "our" refers to Stripe. Unless otherwise indicated, "you" and "your" refers to the person or persons authorized by a Program User to receive and use a Card.

These Terms form part of and restate certain provisions of the Card Agreement that governs use of a Stripe Issuing Commercial Card by or on behalf of Program User. These Terms do not establish a contract or other legal relationship between you and us. The Card Agreement is the legal agreement governing use of the Stripe Issuing Commercial Card, and Program User is responsible for your compliance with the Card Agreement and these Terms. We are providing these Terms to you as a convenience to Program User. You agree that we may provide you with electronic communications.

1. Definitions:

(a) "Administrator" means the person appointed by Program User to manage Program User's use of the Program Services, including managing how you may use the Card.

(b) "Card" means any code, identification number, or other credential (including any token or proxy) issued by Stripe, linked to a Program User Account, which you are authorized by Program User to use on its behalf and which is enabled for transactions over the card network operated by the relevant Payment Method Provider and accessed in the form of a physical or virtual payment card.

(c) "Card Account" means a sub-account of Program User's Stripe account that is linked to a Card.

(d) "Card Limits" means the maximum amounts available for Transactions on any Card. Your Administrator will inform you of any Card Limits that apply to the Card.

(e) "Card Network" means the payments card network operated by the relevant Payment Method Provider.

(f) "Data" means Personal Data or business information provided to or collected by Stripe in connection with the Program, which includes information to determine a Program User's eligibility for a Program Account and other information needed by Stripe to provide the Program.

(g) "Personal Data" means means any information relating to a data subject (who can be identified, directly or indirectly, in particular by reference to an identifier such as name, identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person) that is collected, disclosed, stored, accessed or otherwise processed in connection with the Program.

(h) "Program" means the program through which Stripe issues a Card to the Program User for use by you on Program User's behalf.

(i) "Transaction" means a request initiated by you to make a payment to a merchant for the  purchase of goods or services using a Card.

(j) "Unauthorized Purpose" includes but is not limited to: (i) fraudulent or illegal  purposes; (ii) consumer, personal, or household purposes; or (iii) any purpose unrelated to the Program.

2. Card and Card Account.

The Card is issued and provided by affiliates of Stripe that are authorized to provide certain regulated services to Program User, and is linked to an individual Card Account which relates to the Program User Account. Transactions are deducted from the Program User Account. You are not directly liable to us for your Transactions or other activity on your individual Card Account. The Card must be activated prior to use. Your Program User's Administrator will provide activation instructions to you. If you did not receive activation instructions for the Card, contact your Administrator. We or your Administrator may apply a Card Limit to the Card Account. Transactions will reduce the Card Limit, and any Transactions in excess of the Card Limit may be declined.

3. Account Opening.

Applicable law requires us to obtain, verify, and record information that identifies you when a Card Account is opened by Program User in connection with a Card. What this means for you: In connection with opening your individual Card Account, Program User, the Administrator or Stripe may ask you for your name, address, date of birth, and other information that will allow us to identify you. We also may ask to see your driver's license or other identifying documents.

4. Using the Stripe Issuing Commercial Card.

You may only use the Card for bona fide business purchases on behalf of Program User and for valid and lawful purposes, and in accordance with the Card Agreement. You may not use the Card for personal, family or household purposes. Cards cannot be used for: (i) cash withdrawal transactions through automated teller machines (ATMs); (ii) obtaining cash back at the point of sale; or (iii) any Unauthorized Purpose. The Card remains the property of Stripe and must be returned upon request. We may cancel, revoke, repossess or restrict the use of the Card at any time, as permitted by the Card Agreement. We may decline to authorize or reverse Transactions or suspend the Card for any reason including violation of these Terms or suspected fraud. We also may decline to authorize Transactions at merchants characterized by the Payment Method Provider or us as prohibited merchants. We are not responsible for losses resulting from declined or reversed Transactions. Stripe will have no liability if a merchant refuses to honor a Card or accept a Transaction. 

5. Card Account Holds.

When you use the Card to initiate a Transaction at hotels, restaurants, gas stations, rental car companies, and certain other merchants where the amount of the final Transaction is unknown at the time of authorization, a hold may be placed on the Card Account for an amount equal to or in excess of the final Transaction amount. We or your Administrator also may place a hold on available funds in the Card Account for certain other Transactions. When a hold is placed on the Card Account, the amount of the hold will reduce the then-applicable Card Limits until the hold is released.

6. Card Security.

You are responsible for securing the Card, account numbers and Card security features (including the CVV and PIN).

7. Data Privacy.

Stripe processes, analyzes, and manages Data to: (a) provide the Program to Program Users and Authorized Users; (b) mitigate fraud, financial loss, or other harm to Program Users, Authorized Users, other holders of Card Accounts and Stripe, and (c) analyze, develop and improve our products, systems and tools. Stripe provides Data to third-party service providers, including third-parties engaged for Card printing services, and their respective affiliates, as well as to Stripe's affiliates, to allow us to provide the Program. We do not provide Personal Data to unaffiliated parties for marketing their products. We will only use Personal Data as required to provide the Program, to fulfill our obligations to regulatory authorities, and in accordance with the Stripe Privacy Policy. Protection of Personal Data is very important to us. The Stripe Privacy Policy  explains how and for what purposes we collect, use, retain, disclose, and safeguard Data provided to us in connection with the Program. You agree to review the terms of the Stripe Privacy Policy, which we may update from time to time, and which form part of these Terms.

8. Compliance with Law.

You must engage with the Program in a lawful manner, and must obey all laws, rules and regulations that apply to your use of the Card.

9. Restricted Persons.

You represent and warrant that you are not currently and will not become subject to a U.S. Office of Foreign Asset Control, European Commission, UK, or national list, or any law, regulation, or other list of any government agency that prohibits or limits us from providing Card Accounts or Cards to the Program User in order for Program User to authorize you to act on its behalf or from otherwise conducting business with you.
